Chapter I General Provisions

Article 1 The name of this group is "China Association for Continuing Engineering Education", which is translated into English as "China Association for Continuing Engineering Education" and abbreviated as "CACEE" in English.

Article 2 China Continuing Engineering Education Association is a public welfare and non-profit social group legal person voluntarily formed by organizations, groups and individuals who are enthusiastic about continuing education.

China Continuing Engineering Education Association is a national and professional social organization that promotes the development of continuing education under the leadership of the China Communist Party and with the support of state government departments. Developing continuing education is an important social force of the Party and the government in China.

Article 3 China Association for Continuing Engineering Education shall abide by the national constitution, laws, regulations and policies, and abide by social ethics.

Guided by Marxism–Leninism, Mao Zedong Thought, Deng Xiaoping Theory and Theory of Three Represents, China Association for Continuing Engineering Education aims to implement the strategies of "strengthening the country through talents" and "rejuvenating the country through science and education", to promote the continuing education in China to face modernization, the world and the future, and to promote the continuing education activities to actively, actively and effectively serve the overall construction of a well-off society. According to the idea of "people-oriented" and the idea of "promoting people's all-round development", we should take capacity building as the core to promote professional and technical personnel to update their knowledge and skills, adjust their knowledge structure, enhance their humanistic quality and improve their own quality.

Article 4 The China Association for Continuing Engineering Education accepts the professional guidance, supervision and management from the competent department of People's Republic of China (PRC), the Ministry of Personnel, the People's Republic of China (PRC) Association Registration Management Department and the Ministry of Civil Affairs of the People's Republic of China. The association maintains business ties with education, science and technology and other related parties.

Chapter II Scope of Business

Article 6 The main tasks of China Continuing Engineering Education Association are:

(A) actively promote the establishment of China's lifelong education system and promote the development of a learning society.

(two) to publicize continuing education, carry out theoretical research, organize academic exchanges, popularize advanced experience, and promote contact and cooperation among members.

(3) Organize investigation and study, track the development trends, collect information about continuing education at home and abroad, develop the theory of continuing education, and promote the sharing of continuing education resources.

(four) to accept the entrustment of government departments to provide continuing education management, legal construction and relevant policies and advice and expert services.

(five) to develop continuing education courses, organize the compilation of information materials, publications, teaching materials and books, evaluate the quality and efficiency of continuing education, provide public service products for continuing education, and carry out various continuing education and training activities.

(six) the construction of China Association for Continuing Engineering Education website, to carry out distance open continuing education training and management.

(seven) actively carry out international exchanges and cooperation in the field of continuing education.

(eight) to strengthen the construction of the industry itself, formulate the industry norms and professional ethics standards for continuing education practitioners, and carry out self-discipline management in the industry.

Chapter III Members

Article 7 China Association for Continuing Engineering Education includes: group members, individual members and honorary members.

(1) group members

Organizations, enterprises and institutions established with the approval of people's governments at all levels, civil affairs departments and administrative departments for industry and commerce may apply to become members of China Continuing Engineering Education Association as long as they recognize the Articles of Association.

Group members send representatives to participate in various activities organized by the association, and representatives enjoy all the rights of members. The generation and adjustment of group member representatives shall be determined by the group member units and reported to the Association Organizing Committee for the record.

(2) Individual members

Individuals with certain expertise in the field of continuing education, as well as people from all walks of life who are interested in continuing education, can apply to become individual members of the association after the articles of association are recognized and recommended by two members or group members.

Consultants and members of expert committees hired by the association naturally become individual members of the association during their tenure.

(3) Honorary member

It is mainly awarded to well-known experts and scholars at home and abroad who have made great contributions to academic research and work practice of continuing education.

(four) in order to facilitate the contact between the members of the group and the association, the member units of the group may set up liaison officers.

Article 8 A member applying to join the China Association for Continuing Engineering Education must meet the following conditions:

(1) Supporting the articles of association;

(2) Having the will to join this Association;

(three) to carry out activities in the field of continuing education, which has a certain performance or social impact;

(four) actively participate in the research and promotion of continuing education.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) Approved by the Association Organizing Committee;

(three) reported to the chairman for approval;

(4) Membership card issued by China Continuing Engineering Education Association.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) to obtain the priority of our services;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association;

(two) to implement the resolutions of the association and complete the work entrusted by the association;

(three) to publicize the purpose of the association and participate in the activities of the association;

(four) to safeguard the legitimate rights and interests of the association;

(five) to pay membership fees in accordance with the provisions;

(six) to reflect the situation to the association and provide relevant information;

(seven) to support the activities of the association.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card.

If a member fails to pay the membership fee or participate in the activities of the association for no reason within two years, it will be regarded as automatic withdrawal.

Thirteenth members who violate the purpose and articles of association of the association shall be given warnings, criticism and education until they are expelled from the association. If an individual member violates the criminal law and is deprived of political rights, his membership will naturally be cancelled.

Chapter IV Organizational Structure

Article 14 The National Congress of members is the highest authority of the Association, and its representatives are democratically elected through election, consultation and recommendation.

The National Congress of Members is held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for review, and approved by the registration authority of the association. The extension of the general election shall not exceed one year.

Article 15 In principle, the National Congress of Members can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 The functions and powers of the National Congress of Members are:

(a) to determine the working principles and tasks of the association;

(2) Formulating and amending the articles of association;

(3) Electing and removing directors and electing a new Council;

(four) to consider the work report and financial report of the Council;

(5) Deciding to terminate.

(six) to decide on other major issues.

Article 17 The Council of China Association for Continuing Engineering Education is the executive body of the general assembly, leading the association to carry out its daily work when the general assembly is not in session, and being responsible to the national general assembly.

The board of directors can only be convened when more than two thirds of the directors are present. Directors who did not attend the meeting may solicit opinions by means of communication, and their resolutions shall take effect only if they are approved by more than two thirds of the directors present.

The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the chairman, executive vice chairman, vice chairman and secretary general;

(3) Elect the standing council (the number of standing directors shall not exceed 0/3 of the number of 65,438+directors);

(four) to prepare for the convening of the members' congress;

(five) to report the work and financial situation to the members' congress;

(six) to decide to absorb or recall members;

(7) Deciding to establish offices, branches, representative offices and entities;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate internal management system;

(ten) recommend, praise and reward outstanding academic papers and works, as well as units and individuals who have made outstanding contributions to continuing education;

(eleven) to decide on other major issues.

Article 19 The China Association for Continuing Engineering Education shall set up a standing council to exercise the first, fourth, sixth, seventh, eighth, ninth, tenth and eleventh functions and powers of the council when the council is not in session. The Standing Council is accountable to the Council. The director's office meeting composed of chairman and vice-chairman is the decision-making body of the association on major issues. The association office is responsible for implementing the decisions of the chairman's office meeting and handling the daily affairs of the association. Under the leadership of the chairman, the secretary-general is responsible for the daily work of the association.

According to the needs of the work, the Standing Council may hire an honorary chairman, and may decide to add or adjust the Deputy Secretary-General or determine the Acting Secretary-General. An expert committee and several working committees may be established, and the leading members of each working committee shall be hired by the Standing Council.

Domestic and foreign technical experts, educators, scientists and senior managers who have made outstanding contributions in professional technology and are enthusiastic about continuing education may be hired as consultants or members of the expert Committee of the Association after discussion and approval by the Standing Council of the Association.

If the director is unable to participate in the work of the association for some reason, he should put forward adjustment opinions according to the actual situation and report them to the Standing Council for approval.

Article 20 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 21 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.

Article 22 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the field of continuing education;

(3) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 70;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Twenty-third the chairman, vice-chairman and secretary-general of the association are over the maximum working age, and they can take up their posts only after they are approved by the Council, audited by the competent business unit and approved by the association registration authority.

Article 24 The term of office of the President, Vice-President and Secretary-General of this Association shall generally not exceed two terms (eight years). If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members' representatives, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.

Article 25 Entrusted by the chairman, the vice-chairman shall be the legal representative of the Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 26 The chairman (or entrusted vice chairman) of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the office meetings of the Council, the Standing Council and the Chairman;

(two) to check the implementation of the resolutions of the members' congress, the Council (or the Standing Council) meeting and the chairman's office meeting;

(3) Signing relevant important documents on behalf of the Association;

(4) Deciding on major issues.

Article 27 The Secretary-General of this Association shall exercise the following functions and powers:

(a) presided over the association offices to carry out daily work;

(2) To be responsible for implementing the resolutions of the Council, the Standing Council and the President's Office;

(three) to organize the preparation of the association's medium and long-term development plan, annual plan and financial budget report, and be responsible for organizing the implementation;

(four) to formulate various management systems of the Association and be responsible for organizing their implementation;

(5) Coordinating the work of branches, representative offices and entities;

(six) to nominate the deputy secretary general and the principal responsible persons of offices, branches, representative offices and units, and submit them to the Council or the Standing Council for decision. To decide on the employment of full-time staff in offices, representative offices and entities;

(seven) to complete the matters assigned by the leaders of the association.

Article 28 The Working Committee and Expert Committee of China Continuing Engineering Education Association are not independent legal persons, and their work is managed and supervised by China Continuing Engineering Education Association.

Chapter V Principles of Asset Management and Use

Twenty-ninth sources of funding for China Continuing Engineering Education Association:

(a) funded by the competent department of business;

(2) membership fees;

(3) donations from groups and individuals;

(4) Income from activities or services provided within the approved business scope;

(5) Interest on various incomes;

(6) Other lawful income.

Article 30 The funds of the Association shall be based on the principle of "diligence and thrift", and must be used to carry out the work of the Association and develop the business scope and undertakings stipulated in the articles of association, and shall not be distributed among members.

Article 31 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 32 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 33 No unit or individual may occupy, privately divide or misappropriate the assets of this Association. The asset management of the association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-fourth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Chapter VI Procedures for Amending the Articles of Association

Article 35 Any amendment to the Articles of Association must be approved by the board of directors and submitted to the National Congress for deliberation.

The revised articles of association of this Association shall come into effect within 15 days after being adopted by the general meeting of members, agreed by the competent business unit and approved by the registration authority of this Association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 36 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 37 The motion to terminate this Association shall be voted by the members' congress and submitted to the competent business unit for examination and approval.

Thirty-eighth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 39 The Association shall be terminated after the cancellation of registration by the association registration authority.

Article 40 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the registration and administration organ of the association in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 41 The Articles of Association was adopted by the general meeting on June 5+10/October 36 +0, 2005.

Article 42 The right to interpret these Articles of Association belongs to the Council of China Continuing Engineering Education Association.

Article 43 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
