Article 2 Nature of the Association: China Logistics Industry Association is an international non-governmental organization with legal personality in Greater China, which is voluntarily established by enterprises and institutions engaged in logistics development, scientific research and teaching institutions and users of other related industries in Chinese mainland, Hongkong and Macau.
Article 3 The purpose of the Association is to tap, concentrate and integrate resources from all sides, cultivate the logistics demand market, and guide the healthy and orderly development of the logistics industry in China. Safeguard the legitimate rights and interests of members, strengthen the links between enterprises in the industry and between supply and demand sides, and serve the development of members, enterprises and China logistics industry.
Article 4 An association may establish professional committees, branches, local service centers and entities.

Chapter II Tasks
Article 6 The tasks of this Association are as follows:
1. Industry Norms Organize and implement industry surveys and statistics, assist in the formulation, promulgation and revision of relevant government policies, guidelines and regulations, supervise, examine and assess the members of the association, and promote the establishment of a fair, just and open market order.
2. Education and Training Set up full-time training institutions, offer degree and non-degree courses in combination with the actual market demand and social education resources, and train high-quality talents for the industry.
3. Legal Insurance Establish a business legal and economic consulting center to promote the legal system construction of the industry and the establishment of a good market order, and provide legal aid and insurance consulting services for members. International trade disputes, responding to lawsuits, etc. To assist enterprises to use relevant laws or practices to safeguard their rights and interests.
4. Information consultation provides a platform for communication in the industry by editing and publishing publications and establishing internet websites. And collect domestic and foreign logistics information, laws and regulations, information papers and professional books through professional books and websites in the industry, sort out and analyze the data of industry development, and provide all-round and personalized information services for the development and growth of enterprises.

Chapter III Members
Article 7 Formation of Members
Honorary member: All domestic and foreign personnel, institutions or groups who have made achievements in the industry or made special contributions to the Association can be employed as honorary members of the Association upon the recommendation of more than three directors and the approval of the Council.
President, vice president, executive director and director: elected from among members. (The level depends on the contribution to the association)
Article 8 Membership:
1. Target range: enterprises and institutions, scientific research and teaching institutions and other related industry units engaged in logistics development in Chinese mainland, Hong Kong and Macao;
2. Registered and operated according to law, with good credit;
3. No major bad records;
4. Have good business performance and perfect management system;

Article 9 Membership procedures:
6. Submit the application form for membership directly or online and affix the official seal of the unit, together with the membership information (including a copy of the business license, a copy of the legal person code, and a membership registration form) to the secretariat of the Association;
7. Pay membership fees and annual fees directly or online;
8. The Council authorized the secretariat to review its membership and submit it to the Council for discussion and adoption;
9. The Council authorized the Secretariat to issue membership certificate and plaque.
Article 10 Obligations of Members
1. Abide by the articles of association and conventions and implement the resolutions of the Association;
2. Actively participate in various activities organized by the Association;
3. Provide statistical data such as basic information of enterprises, monthly economic indicators and monthly output of main products to the Association on time;
4. Participate in and support the activities organized by the Association and undertake the work entrusted by the Association;
5. Other obligations entrusted by the Council.
Article 1 1
1. Attend the general meeting of members, and give priority and preferential participation in training, seminars, overseas visits, exchanges, exhibitions and other activities sponsored by the Association;
2. Have the right to vote and be elected;
3. Have the right to vote and supervise;
4. Timely and free access to the latest policy information and industry information at home and abroad;
5. You can consult the development of this industry and get the irregular consulting service of the experts of the association for free;
6. Other rights granted by the Council.
Article 12 Member management
1. The association has the membership of the member management department, and the members will enter the member information database immediately after joining.
2. The Association shall keep in touch with its members regularly, understand their situation, help them solve problems, reflect opinions to relevant departments, and provide information, consultation and other services.
3. The Association shall go deep into the member units to solicit opinions and suggestions, and close the relationship between the two parties, and visit the member units by no less than one quarter every year.
4. The Association sends free association publications to its members every month, informs the work and activities of the Association on its website and publications, reports industry trends and conveys instructions from superiors.
5. The Association gives priority to members who actively keep in touch with the Association, and provides preferential activities.
6. Members or individuals who have contributed to the Association shall be recommended by the department and reported to the Secretariat or the Council for approval. According to the contribution, give praise, reward and honorary title.
7. If a member violates the articles of association and other regulations, it may be reported to the Secretariat or the Board of Supervisors for approval according to the seriousness of the case, and be given informed criticism, suspended service, warned and cancelled membership respectively.
Article 13 Other Notes
1. Members should carefully read the articles of association and membership management measures before joining the association, so as to understand the basic situation of the association and the rights and obligations of members.
2. According to the actual situation of the enterprise, determine the membership level you want to obtain, and write it down in the remarks.
3. The contact between the Association and its members shall be the full-time responsibility system of the contact person. The contact person has the responsibility to convey all kinds of information provided by the Association to the person in charge, and must entrust someone to act as an agent when leaving the office, so as to avoid information omission and affect the overall interests of the enterprise.
4. When personnel changes or changes occur in member units, it is necessary to inform the Association in time to ensure the smooth flow of information.
5. If you need the support of the association or jointly organize activities, please notify one week in advance; Members' requests will be fed back within one week.
6. If a member wants to change his identity, he must submit an application report, and the application for becoming a director or executive director must be approved by the general meeting of members or the Council.
7. Welcome member units to support the work of the Association with sponsorship fees.
8. If a member seriously violates the articles of association, or his words and deeds damage the reputation of the association, which is verified by the member's report and monitoring, the board of directors may give a warning, suspend his rights, and if there is serious harm to the group, he shall be removed from the list and ratified by the general meeting of members.
9. All fees paid by members after joining or quitting the club will not be refunded.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 General Meeting of Members
The highest authority of this Association is the General Assembly, and its functions and powers are:
1. To stipulate and modify the Articles of Association;
2. Determine the purpose and working policy of the Association, and formulate and modify the rules and regulations of the logistics industry;
3. To consider the work report and financial report of the Council;
4. Elect the honorary president and hire the consultant of the Association;
5. Be responsible for convening member representative meetings or annual meetings;
6. Decide on other important matters.
Fifteenth members' congress must be attended by more than two thirds of the members (or members' representatives), and its resolution must be passed by more than half of the members (or members' representatives) before it can take effect.
Article 16 The term of office of a general meeting (or congress) is four years (no more than two sessions at the longest). If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for examination and approval, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.
Article 17 The board of directors is the executive body of the members' congress and leads the association to carry out its daily work during the intersessional period. Be responsible to the members' congress.
Article 18 The functions and powers of the Council are:
1. Implement the resolutions of the members' congress;
2. To elect and recall the president, vice-president and secretary-general; Executive director and director;
3. Prepare for convening a member representative meeting;
4. Report the work and financial status to the members' congress;
5. Decide on the absorption or recall of members;
6. Decide to establish offices, branches, representative offices and entity institutions;
7. To decide on the appointment and removal of the Deputy Secretary-General and the principals of various institutions;
8. To lead the work of the Association;
9. Formulate various internal management systems of the Association;
10. Decide on other important matters.
Article 19 The meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present at the meeting.
Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.
Article 21 The Standing Council.
The Standing Council is elected by the Council, and exercises the functions and powers of Article 17, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council. In the special case of urgent work, an enlarged meeting of the president can be held to study and decide on important and urgent daily matters. The chairman expanded the scope of the meeting to include the chairman, vice-chairman, secretary-general and deputy secretary-general, as well as some executive directors.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held in the form of communication.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
1. Adhere to the Party's line, principles and policies and have good political quality;
2. It has great influence in the industry;
3. The maximum age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;
4. Good health, can insist on normal work;
5. No criminal punishment of deprivation of political rights;
6. Have full capacity for civil conduct.
Article 25 The president, vice-president and secretary-general of the Association shall not take up their posts until they have passed the board of directors, been examined by the competent business unit and approved by the association registration authority.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years. (The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the members' congress, reported to the competent business unit for review, and approved by the registration and management agency of the association before taking office.
Article 27 The President shall exercise the following functions and powers:
1. Convene and preside over the Council (or the Standing Council);
2. Check the implementation of the resolutions of members' congresses and councils (or standing councils);
3. Sign relevant important documents on behalf of the Association.
Article 28 The Vice President shall exercise the following functions and powers:
1. Work assigned by the CEO;
2. To be responsible for the work of the Council when it is not in session;
3. Participate in the research and formulation of the working standards of the Association;
Article 29 The Secretary-General shall exercise the following functions and powers:
1. Preside over the daily work of the office and organize the implementation of the annual work plan;
2. Coordinate the work of branches and entities;
3. Nominate the Deputy Secretary General and the heads of branches and units, and submit them to the Council or the Standing Council for decision;
4. Decide on the employment of full-time employees of branches and entities;
5. Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30 Sources of funds
1. Donation;
2. government funding;
3. Income from activities or services provided within the approved business scope;
4. interest;
5. Other lawful income.
Article 31 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Expenditure includes:
1. Business activities, meetings and daily office expenses;
2. Wages and welfare subsidies for full-time staff of the Association;
3. Other normal expenses of members and associations.
Article 32 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 33 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 34 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Thirty-fifth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 36 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 37 The wage insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-eighth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.
Article 39 The revised articles of association of this Association shall come into effect within 15 days after it is adopted by the members' congress, reviewed and agreed by the competent business unit, and approved by the registration authority of this Association.
Chapter VII Termination Procedure and Property Disposal after Termination
Fortieth if the association is dissolved by itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a resolution to terminate it.
Article 4 1 The resolution to terminate this association must be approved by the members' congress and submitted to the competent business unit for approval.
Forty-second before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant parties to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 43 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 44 After the termination of this Association, the remaining property shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration authority of this Association in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 45 The Articles of Association was adopted by the members' congress on April 24, 2002.
Article 46 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 47 The Articles of Association shall come into force as of the date of approval by the association registration authority.
