The legal affairs (listing stage) for securities firms to enter the share transfer system on their behalf are as follows:
1. Review whether the company is qualified for listing, participate in the main board quotation brokerage project team, be responsible for due diligence, and draft due diligence reports, recommendation reports, share quotation transfer instructions, investigation working papers and make filing documents according to the requirements of the share quotation transfer instructions.
The due diligence report will include the following aspects:
(1) Integrity statement of all directors
(2) Basic information of the company;
(3) Directors, supervisors, senior managers, core technicians and their shareholding;

(2) Sign an agreement on the transfer of recommended listing quotation with the sponsoring quotation broker;
(3) Documents submitted to the local government to apply for the qualification of the pilot enterprise of share quotation transfer;
(4) Signing a securities registration service agreement with Shenzhen Branch of China Securities Depository and Clearing Corporation;
3. Assist the sponsoring brokers to issue legal opinions, verification opinions and witness opinions. Enterprise stocks entering the agency transfer system;
4. Guide enterprise information disclosure according to relevant laws and regulations;
5. Provide guidance to the senior management of the enterprise on relevant knowledge of enterprise law and securities law;
6. Provide relevant legal advice and help for enterprises and other intermediaries.
