Chapter I General Provisions

Article 1 The name of this group is: Beijing Wenzhou Enterprise Chamber of Commerce.

Article 2 This Chamber of Commerce is established by the voluntary association of enterprises in Wenzhou, Beijing, and has been approved and registered by the Beijing social organization registration authority.

Article 3 The purpose of this Chamber of Commerce is based on supporting services, aiming at innovation and development, and wishing to repay the society. Help the government publicize.

Chapter II Scope of Business

Chapter III Members

Article 7 Members of the Chamber of Commerce are divided into unit members and individual members.

Article 8 A member applying to join a chamber of commerce must meet the following conditions:

(1) Enterprises and individuals with legal personality registered in Wenzhou, Beijing, are mainly the institutions of Wenzhou enterprises in Beijing.

(two) organizations and individuals that recognize the articles of association of this Chamber of Commerce, fulfill their membership obligations and pay their membership dues on time.

(three) support the articles of association of this Chamber of Commerce and have the will to join this Chamber of Commerce.

Article 9 The membership procedure is as follows

(1) Submit the application for membership to the Secretariat;

(2) It has been examined and approved by the Secretariat and reported to the higher authorities for approval;

(3) The Standing Council authorizes the Secretariat to issue membership cards.

Article 10 Members shall enjoy the following rights: the right to vote, to be elected and to vote in this Chamber of Commerce; Participate in the activities of this Chamber of Commerce; Give priority to the paid services provided by the Chamber of Commerce; Have the right to criticize, suggest and supervise the work of the Chamber of Commerce; Freedom to join and quit voluntarily; Article 11 Members shall perform the following obligations: abide by the articles of association of the Chamber of Commerce and implement the resolutions of the Chamber of Commerce; Safeguard the legitimate rights and interests and reputation of this Chamber of Commerce; Complete the work entrusted by this Chamber of Commerce; Pay membership dues as required; Reflect the situation to the Chamber of Commerce and provide relevant information; Article 12 A member who withdraws from the meeting shall notify the Chamber of Commerce in writing and return his membership card. The member fails to pay the membership fee on time, and is in arrears for 6 months or 3 consecutive years.

Chapter IV Organizational Structure

Article 14 The highest authority of this Chamber of Commerce is the member congress, which is held once a year. Members' Congress shall be presided over by the President, and members

The main duties of the congress are: to formulate and amend the articles of association; To elect and remove executive directors and supervisors; Review the work reports and financial reports of the Standing Council and the Board of Supervisors; Decide on major changes and termination; Decide on other major issues. Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolution must be passed by half of the members' representatives present.

Article 16 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the Standing Council.

It must be reported to the competent business unit for examination and approval, and approved by the association registration authority, but the longest period shall not exceed 1 year.

Article 17 The Standing Council is the executive body of the general assembly, leading the Chamber of Commerce to carry out its daily work when the general assembly is not in session.

Article 18 The duties of the Standing Council are: to implement the resolutions of the general meeting of members; Engage honorary presidents and consultants through consultation, and elect presidents, executive presidents, executive vice presidents, vice presidents, secretaries-general and supervisors; Prepare for the convening of a member congress; Report the work and financial situation to the members' congress; Decide to accept or expel members; Deciding to establish offices, branches, representative offices and entity institutions; To decide on the appointment and removal of the Deputy Secretary-General and the principal responsible persons of various institutions; Leading the work of various organizations of the Chamber of Commerce; Formulate internal management system; (10) Accepting the opinions of the Board of Supervisors on the disciplinary problems of this group, proposing solutions and accepting their supervision.

Article 19 The executive council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall be adopted by more than half of the executive directors present.

Article 20 The Standing Council shall convene a meeting at least once every six months; Special circumstances can be held in the form of communication.

Article 21 The Chamber of Commerce shall set up a president's office meeting, which is composed of the president and the executive vice president, elected by the standing council and accountable to the general manager.

Article 22 The president's office meeting can only be held when more than two thirds of the executive vice presidents are present, and its resolution must be passed by more than half of the executive vice presidents present.

Article 23 The president, vice-president and secretary-general of this Chamber of Commerce must meet the following conditions: adhere to the party's line, principles and policies and have good political quality; Have great influence in their respective business fields; (three) love the work of the Chamber of Commerce, and have the heart of public welfare; The highest post-holding age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time; Good health, can insist on normal work; Article 24 The legal representative of this Chamber of Commerce is the president. The term of office of the president is four years. If it is necessary to extend the term of office due to special circumstances, it must be approved by the members.

More than two thirds of the members voted at the meeting. The term of office of the president shall not exceed two terms. Report to the superior competent department for examination and approval by the Municipal Social Union.

Service can only be provided after examination and approval by the Sports Management Office.

Article 25 The president of the Association shall exercise the following functions and powers: to convene and preside over the executive council and the president's office meeting, and to inspect the implementation of the resolutions of the general meeting, the executive council and the president's office meeting; Sign relevant important documents on behalf of the Chamber of Commerce. Article 26 The Secretary-General of the Association shall exercise the following functions and powers: preside over the daily work of the office and organize the implementation of the annual work plan; Coordinate the work of branches, representative offices and entities; Nominate the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submit them to the Standing Council for decision; To decide on the employment of full-time staff in offices, representative offices and entities; Handle other daily affairs. Article 27 The Board of Supervisors

The Chamber of Commerce has a Board of Supervisors, which consists of three members, elected by and responsible to the members' congress. Its main responsibilities are: to elect the chairman of the board of supervisors; Attend the Standing Council and supervise the activities of the group and leading members in accordance with the Regulations and relevant laws and regulations; Urge the Chamber of Commerce and leading members to carry out activities in accordance with the approved articles of association, business scope and internal management system; Supervise the behavior of members of this Chamber of Commerce who violate the discipline of this Chamber of Commerce and damage the reputation of this Chamber of Commerce; Supervise the financial situation of the Chamber of Commerce; Put forward opinions on handling violations of laws and regulations of this Chamber of Commerce, submit them to the Standing Council, and supervise their implementation. Article 28 Other internal organs

Chapter V Asset Management

Twenty-ninth sources of funds of the Association: membership fees; Donation; Government funding; Income from activities or services provided within the approved business scope; Interest; Other lawful income. Article 30 The Chamber of Commerce shall collect membership fees according to the standards for collecting membership fees.

Article 31 The funds of this Chamber of Commerce must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 32 A chamber of commerce shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 33 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accounting personnel must conduct accounting,

Implement accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 34 The asset management of this Chamber of Commerce must implement the financial management stipulated by the state and accept the supervision of the members' congress and the financial department.

If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and report the relevant situation in an appropriate way.

Article 35 Before the Chamber of Commerce changes its legal representative, it must accept the financial affairs organized by the association registration authority and the competent business unit.

Article 36 No unit or individual may occupy, privately divide or misappropriate the assets of this Chamber of Commerce.

Article 37 When the Association employs full-time staff, it shall go through corresponding procedures with reference to relevant state regulations.

Chapter VI Termination Procedure

Article 38 If the Chamber of Commerce completes its purpose, dissolves or needs to be cancelled due to division or merger, the Standing Council shall propose a termination proposal.

Article 39 The motion to terminate the Chamber of Commerce must be voted by the members' congress and submitted to the competent business unit for examination and approval.

Article 40 Before the termination of this Chamber of Commerce, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and properly handle them.

After this incident. During the liquidation period, no activities other than liquidation will be carried out.

Article 41 A chamber of commerce shall terminate after its registration is cancelled by the association registration authority.

Chapter VII Supplementary Provisions

Article 43 The Articles of Association was adopted by the members' congress on April 29, 2007.

Article 44 The right to interpret the Articles of Association belongs to the Standing Council of the Chamber of Commerce.

Article 45 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
