Article 1 The name of this Association is Beijing Real Estate Agency Industry Association.
Article 2 This Association is composed of Beijing real estate agents, consulting institutions and brokers with professional qualifications voluntarily. It is a non-profit legal entity approved and registered by Beijing social organization registration authority.
Article 3 The purpose of the Association is to adhere to the Party's basic line, abide by the national constitution, regulations and policies, abide by social ethics, unite and organize all members, do a good job in industry self-discipline, adhere to the principle of serving the government, members, industry and society, and publicize and implement the laws, regulations, principles and policies of the State and Beijing Municipality. Actively assist the government to strengthen industry management, timely reflect the wishes and requirements of the majority of members and industries, and safeguard the legitimate rights and interests of members and industries. Contribute to the progress of Beijing real estate agency industry and the healthy development of the whole real estate market.
Article 4 This Association accepts the professional guidance, supervision and management of Beijing Municipal Construction Committee and Beijing Municipal Civil Affairs Bureau.
Chapter II Scope of Business
Article 5 The business scope of this Association:
(a) under the guidance of the competent government departments, publicize and implement the laws, regulations, principles and policies related to the management of real estate brokerage and consulting industry, and formulate norms, codes of conduct and self-discipline standards for real estate brokerage and consulting industry.
(two), around the real estate brokerage, consulting industry reform and development theory, principles and policies to carry out research, timely reflect the industry requirements to the government and put forward suggestions.
(3) Strengthen cooperation with news media, collect and disseminate information about real estate brokerage and consulting industry at home and abroad, edit and publish industry publications and books, organize academic exchange activities in the industry, and provide services for the development of member units.
(4) Organize friendly exchanges with industry organizations and non-governmental organizations at home and abroad, Hong Kong, Macao and Taiwan, and carry out economic, technical and academic cooperation and exchanges.
(five), the organization of real estate brokerage, consulting industry business, technical training and continuing education, improve the overall quality of the industry.
(six), to undertake the specific work of the real estate brokerage, consulting industry qualification management and other entrusted matters assigned and authorized by the competent government departments.
(seven), strengthen the education of professional ethics and practice discipline of members, and carry out inspection and supervision to improve the brand awareness of the industry and establish a good image of the industry.
(eight), according to the need to carry out other activities conducive to the development of the industry.
Chapter III Members
Article 6 Members of this Association are divided into unit members and individual members.
Article 7 To apply for joining this Association, the following conditions must be met:
(1) Brokerage institutions and brokers who have obtained the qualification of real estate brokers and are employed; A registered but not practicing real estate agent; Engaged in real estate brokerage, consulting professional research, teaching institutions, teaching staff, after the approval of the recommendation can also become individual members.
(2) Supporting the articles of association;
(3) Have the desire to join this association;
Article 8 Membership procedures:
(1) Submit an application for membership and relevant certification materials;
(two), the Standing Council discussed and approved;
(3) The Standing Council authorized the secretariat of the Association to go through the membership procedures and issue the membership certificate.
Article 9 Members shall enjoy the following rights:
(a), the association's right to vote, be elected and vote;
(two), to participate in the activities of this association;
(3) Have the right to give priority to the services provided by this Association;
(4) Criticizing and supervising the work of this Association;
(5) giving priority to the information, publications and materials of the Association;
(six), have the right to ask the association to safeguard the legitimate rights and interests;
(7) Have the right to quit the Association.
Article 10 Members must fulfill the following obligations:
(a), the implementation of the articles of association and resolutions;
(two), to safeguard the legitimate rights and interests and reputation of this association;
(three), actively participate in the activities of the association, to complete the work assigned by the association;
(four), according to the provisions of the payment of membership fees;
(five), reflect the situation to the association, provide relevant information;
(six), accept the supervision, inspection and management of the association.
Article 11 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year, it will be deemed as automatic withdrawal.
Article 12 If a member seriously violates the articles of association and relevant regulations of the Association, he shall be removed from the membership after being voted by the Council or the Standing Council.
Chapter IV Organizational Structure
Article 13 The highest authority of this Association is the general meeting of members, whose main duties are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors and supervisors;
(3) Reviewing the work reports and financial reports of the board of directors and the board of supervisors;
(four) to decide on the change and termination of major events;
(5) Deciding on other major matters.
Article 14 The general meeting of members shall be attended by more than two thirds of the members, and its resolution shall be valid only if more than half of the members present vote.
Article 15 The general meeting of members shall be held every three years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors and reported to the Municipal Construction Committee and the Civil Affairs Bureau for approval, but the longest extension of the general election shall not exceed 1 year.
Article 16 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.
Article 17 The duties of the Council are:
(a), the implementation of the resolutions of the general assembly;
(two) to elect and recall the president, vice president and secretary general;
(3) Preparing for convening a general meeting of members;
(four), to report the work and financial situation to the general assembly;
(5) Deciding to admit or expel members;
(six) decided to set up offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight), leading the work of the association;
(nine) to formulate internal management system;
(ten), accept the opinions put forward by the board of supervisors on the disciplinary issues of the association, put forward solutions, and accept their supervision;
(eleven), decide on other major issues.
Article 18 The board of directors shall be convened only when more than two-thirds of the directors are present, and its resolutions shall take effect only when more than half of the directors present vote.
Article 19 The Council shall meet at least once a year; Special circumstances can also be held by means of communication.
Article 20 The Association shall establish a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 17, items 1, 3, 5 to 1 1 when the Council is not in session, and is responsible to the Council.
Article 21 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only when more than half of the executive directors present vote.
Twenty-second meetings of the Standing Council shall be held at least once every six months. Under special circumstances, it can be held by communication.
Article 23 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a), adhere to the party's line, principles and policies, good political quality, enthusiastic about the work of the association;
(2) It has great influence in this industry;
(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70;
(four), good health, can adhere to the normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 24 The legal representative of this Association shall be the president, and the legal representative shall not concurrently serve as the legal representative of other trade associations. The term of office of the president shall not exceed two terms.
Article 25 The President of this Association shall exercise the following functions and powers:
(1) Convening and presiding over the office meetings of the Council, the Standing Council and the President;
(two), check the implementation of the resolutions of the general assembly, the Council and the Standing Council;
(3) Signing or entrusting others to sign relevant important documents on behalf of the Association;
(four) to deal with important issues in the implementation of the articles of association. The executive vice-president and vice-president of the Association shall assist the President in his work, and may be entrusted to exercise the functions and powers of the President under special circumstances.
Article 26 The Secretary-General of this Association shall exercise the following functions and powers:
(a), presided over the daily work of the office, organize the formulation and implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time and part-time staff in offices, representative offices and entities;
(5) Handle other daily affairs. The Deputy Secretary-General assists the Secretary-General in his work and is entrusted to exercise his functions and powers.
Article 27 The Board of Supervisors shall have a board of supervisors composed of three members, who shall be elected by the general meeting of members and be responsible to the general meeting of members. Its main responsibilities are:
(1) Electing the chairman of the board of supervisors;
(two) to attend the Council and the Standing Council;
(three), supervision association and its leading members in accordance with the "Regulations" and relevant laws and regulations to carry out activities;
(four), urge the association and leading members to carry out activities in accordance with the approved articles of association, business scope and internal management system;
(five), supervise the behavior of the staff of the association in violation of discipline and damage to the reputation of the association;
(six), put forward opinions on the violation of law and discipline of this association, submit them to the Council or the Standing Council for decision, and supervise the implementation;
(seven) to supervise the financial situation of the Association;
Chapter V Management of Funds and Assets
Twenty-eighth sources of funds of this Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) interest;
(5) Income from activities and services provided within the approved scope of work;
(6) Other lawful income.
Article 29 The Association shall collect membership fees in accordance with the relevant regulations of the State and Beijing Municipality.
Article 30 The funds of this Association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 31 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data. Article 32 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 33 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and disclose relevant information in an appropriate way.
Article 34 Before the association changes its term of office or changes its legal representative, it must accept the financial audit organized by the Beijing Municipal Civil Affairs Bureau and the competent business unit.
Article 35 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 36 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Termination Procedure
Article 37 If an association is established, dissolved by itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 38 The motion to terminate this Association must be voted by the general meeting of members and submitted to the competent business department for approval.
Thirty-ninth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 40 This Association shall be terminated after the cancellation of registration by Beijing Civil Affairs Bureau.
Article 41 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the Beijing Municipal Civil Affairs Bureau in accordance with relevant state regulations.
Chapter VII Supplementary Provisions
Article 42 The Articles of Association was adopted by the shareholders' meeting on July 6, 2004.
Article 43 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 44 The Articles of Association shall come into force as of the date of approval by Beijing Municipal Civil Affairs Bureau.
