Articles of Association of Chengdu Electronic Commerce Association

Chapter I General Provisions

Article 1 The name of this Association is Chengdu Electronic Commerce Association, and the English name is Chengdu Electronic Commerce Association. The English abbreviation is CDECA.

Article 2 This Association is a local and non-profit social organization voluntarily participated by units and individuals related to e-commerce, and it is an industrial social organization legal person registered according to law.

Article 3 The purpose of this Association is to abide by the Constitution, laws and regulations of People's Republic of China (PRC); Implement the line, principles and policies of the party and the state; Abide by the social moral code of conduct; Promote the development of e-commerce in Chengdu, serve members, serve the people and serve the government; Work in accordance with the principle of "justice, honesty, unity and service"; Give play to the exemplary role of the association in e-commerce technology innovation and application management; Play a role as a link and bridge between the government and enterprises, institutions and individuals engaged in e-commerce; Give play to the role of standardized management, collaborative services and technical support in promoting the development of social e-commerce.

Article 4 This Association accepts the business guidance, supervision and management of Chengdu Information Office, the competent business unit, and Chengdu Civil Affairs Bureau, the registration and management organ of social organizations.

Article 5 The office of Chengdu Electronic Commerce Association is located in Chengdu High-tech Zone.

Chapter II Scope of Business

Article 6 The Association adheres to the principles of seeking truth from facts, paying attention to practical results and democratic consultation, and conducts the following businesses:

First, publicize and implement the line, principles and policies of the party and the state; Put forward policy opinions and suggestions on the development of e-commerce to relevant government departments; Assist government departments to formulate medium and long-term development plans for e-commerce and policies, regulations and industry standards for e-commerce development;

Second, safeguard the legitimate rights and interests of members, oppose unfair competition, oppose infringement of intellectual property rights of others, and promote the establishment and improvement of "rules and regulations";

3. Provide e-commerce development information, market development trend and economic forecast to members and relevant departments, and do a good job in information consulting service and policy, technology, industry and market orientation;

Fourth, carry out extensive academic exchanges in e-commerce; Actively carry out e-commerce knowledge popularization education and skills training; Summarize the experience and lessons in the development of e-commerce and introduce advanced models;

5. Strengthen international cooperation and exchanges, organize exhibitions of new products and technologies of e-commerce at home and abroad, and serve enterprises to explore domestic and foreign markets;

Six, assist enterprises and institutions to improve the quality of products and services, actively participate in e-commerce certification and quality supervision activities, and serve users wholeheartedly;

Seven, cooperate with relevant departments to carry out e-commerce related professional and technical titles evaluation and expert recommendation;

Eight, actively carry out technical consultation and technical services in the business field of the association, accept the entrustment of government departments and relevant enterprises and institutions, and provide demonstration and consultation on e-commerce investment and development projects and feasibility schemes;

Nine, complete the government to the association, and other matters that need to be handled by the association.

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

I. Acknowledge the articles of association of the Association and be willing to fulfill the obligations of membership;

2. Voluntary application for membership and registration in the association;

3. Units and individuals with certain influence in the field of e-commerce.

Article 9 Membership procedures:

First, submit an application for membership;

Second, the Council discussed and approved;

Third, go through the relevant membership procedures;

The membership card shall be issued by the board of directors.

Article 10 Members shall enjoy the following rights:

1. The right to vote, to be elected and to vote of this Association;

Second, participate in various activities organized by the association;

Third, get the priority of association service;

4. Have the right to criticize, suggest and supervise the work of this Association;

5. Freedom of voluntary participation and withdrawal.

Article 11 Members shall perform the following obligations:

1. Abide by the articles of association and implement the resolutions of the association;

Second, safeguard the reputation and legitimate rights and interests of the association;

Third, complete all the work entrusted by the association;

Four, according to the provisions of timely payment of membership fees to the association;

5. Actively participate in various activities organized by the Association;

Six, timely reflect the situation to the association, provide information.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities organized by the association for one year, it will be deemed as automatic withdrawal.

Thirteenth members in any of the following circumstances, the Council of the Association or the Standing Council voted to be removed.

First, it damages the reputation of the association and infringes on the interests of the industry;

2. Defame the reputation of others and infringe upon other members or non-members;

3. Being ordered to suspend business in violation of national laws;

4. Violation of the Articles of Association and non-compliance with the company's rules and regulations.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 14 The highest authority of this Association is the general meeting of members (unit members may entrust representatives to attend the meeting). The functions and powers of the General Assembly are:

1. To formulate, amend and approve the Articles of Association;

2. Election and recall of members of the Council;

Third, formulate the work objectives of the association;

4. To consider the work report and financial report of the Council;

Verb (abbreviation of verb) decides to terminate;

6. Decide on other major issues.

Article 15 The general meeting of members shall be attended by more than two thirds of the members, and its resolution shall be valid only if more than half of the members present vote.

Article 16 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to Chengdu Information Office for review and approved by Chengdu Civil Affairs Bureau, but the extension of the general election shall not exceed one year at the longest.

Article 17 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members. The number of members of the Council shall not exceed half of the number of members.

Article 18 The functions and powers of the Council are:

First, implement the resolutions of the General Assembly;

2. To elect and recall the president, vice-president and secretary-general;

Third, prepare for the general meeting;

Four, report the work and financial situation of the association to the general assembly;

5. Decide on the absorption or recall of members;

VI. Deciding to establish offices, branches, representative offices and entities:

7. To decide on the appointment and removal of the Deputy Secretary-General and the principals of various institutions;

Eight, leading the institutions of the Association to carry out their work;

Nine, formulate and adopt the internal management system;

X. decide on other important matters;

XI. Decide on the amount of membership fees and other payments.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The Council shall meet once a year. Under special circumstances, it can also be convened by communication.

Article 21 The Association shall have a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council. The number of executive directors shall not exceed one third of the number of directors.

Article 22 The Standing Council shall be convened only when more than two thirds of the executive directors are present (if the executive director is unable to attend for some reason, he may entrust a representative to attend), and its resolution shall take effect only after the voting of more than two thirds of the executive directors present.

Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held in the form of communication. Important resolutions formed by the Council and the Standing Council shall be notified to all members in a timely manner.

Article 24 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:

First, adhere to the line, principles and policies of the party and the state;

Second, it has great influence in the field of e-commerce;

Three, the chairman, vice chairman and secretary general of the maximum age of not more than seventy years old in principle:

Fourth, be healthy and be able to stick to normal work;

5. No criminal punishment of deprivation of political rights;

6. Have full capacity for civil conduct.

Article 25 The chairman, vice-chairman and secretary-general of the Association who are over the maximum working age shall be approved by the Council, reported to the Chengdu Information Office for review and approved by the Chengdu Civil Affairs Bureau before continuing to serve.

Article 26 The term of office of the chairman, vice-chairman and secretary-general of the Association shall be four years, and the longest term shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it is necessary to obtain the consent of more than two-thirds of the members of the general assembly, report to the Chengdu Information Office for review and obtain the approval of the Chengdu Civil Affairs Bureau before continuing to serve.

Article 27 The chairman, vice-chairman and secretary-general of the Association shall be removed after being reported to the Council of the Association for voting.

1. violates the provisions of Article 13 of the Articles of Association;

2. The term of office has expired and has not been extended;

3. Violation of national laws and regulations;

Four, can not be competent for this job, and caused losses to the association;

5. Personal health or other special reasons.

Article 28 The legal representative of the Association shall, in principle, be the chairman or the secretary-general, and shall be reported to Chengdu Information Office for review, which shall take effect after being approved by Chengdu Civil Affairs Bureau.

Article 29 The chairman of the Association shall exercise the following functions and powers:

1. Convene and preside over the Council and the Standing Council;

Two. Sign relevant important documents on behalf of the Association;

Three, presided over the association to carry out various important work.

Article 30 The secretariat of this Association shall exercise the following functions and powers:

I. Preside over the daily work of the office and organize the implementation of the annual work plan;

Two, check the implementation of the resolutions of the general assembly, the Council and the Standing Council;

III. Coordinating the work of branches, representative offices and entities;

Four, put forward the deputy secretary general and the main person in charge of the offices, branches, representative offices and units, and report to the Council or the Standing Council for discussion and decision;

V. Make suggestions on the employment of full-time staff in offices, representative offices and entities, and handle relevant employment procedures after approval by the chairman;

Six, responsible for the management of association funds;

Seven, responsible for handling other daily affairs.

Chapter V Principles of Asset Management and Use

Article 31 The sources of funds of this Association are:

1. Annual membership fee income (membership fee standard: 800 yuan/year for member unit, 2,000 yuan/year for director unit and 5,000 yuan/year for vice chairman unit);

2 donations from domestic and foreign organizations, units and individuals;

3. Funding from government departments and enterprises;

Income from activities or services provided within the approved business scope;

5. Other lawful income.

Article 32 the association collects membership fees in accordance with relevant state regulations.

Article 33 An association shall establish a financial management system in accordance with the Accounting System for Non-profit Organizations stipulated by the state.

Article 34 An association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accounting personnel must organize accounting in accordance with the provisions and implement accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association shall be implemented in accordance with the relevant national financial management rules and regulations, and shall be subject to the supervision of the general meeting of members and the financial department. Where the source of assets belongs to state grants or social donations or subsidies, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.

Thirty-sixth before the association changes its legal representative, it shall accept the financial audit of the competent unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 39 Any amendment to the articles of association of this Association must be approved by the Council and submitted to the general meeting for deliberation.

Article 40 The revised articles of association of this Association shall come into effect within 15 days after being approved by the general meeting of members, reviewed and approved by Chengdu Information Office and approved by Chengdu Civil Affairs Bureau.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 42 The motion to terminate this Association must be voted by the general meeting of members and reported to Chengdu Information Office for approval.

Forty-third before the termination of this association, a liquidation group shall be established under the guidance of the competent business unit and relevant units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 The Association shall be terminated after the cancellation of registration by Chengdu Civil Affairs Bureau.

Article 45 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent unit and in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the shareholders' meeting on April 19, 2006.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 48 The Articles of Association shall come into force as of the date of approval by Chengdu Civil Affairs Bureau.
