Catalogue of normative expressions of business scope

In order to further implement the requirements of the Regulations on optimizing the business environment and the full coverage reform of "separation of licenses", fully guarantee the autonomy of enterprises, optimize the registration method of business scope, solve the problems of inconsistent registration standards, unclear information notification and insufficient information in various places, and provide more standardized and convenient registration services for enterprises, the General Administration of Market Supervision has formulated the Catalogue of Specification Expression of Business Scope, which has been applied in some places on a pilot basis and is now open to the public for comments.

The Catalogue of Business Scope Specifications classifies and merges the contents of specific business items, presenting them in the form of entries, and does not record specific business items, which can reduce the burden of enterprises repeatedly registering changes in business scope due to changes in the contents of specific business items. If the enterprise involves the change of the permitted business scope, as long as it is in the registered items, there is no need to register the change.

To apply for a project business license, the applicant shall apply to the examination and approval authority in accordance with laws, administrative regulations and the State Council decisions, and after approval, apply to the enterprise registration authority with the approval documents and certificates. If the examination and approval authority has restrictions on the operating period of the licensed project, the registration authority shall register the operating period, and the enterprise shall engage in business within the operating period approved by the examination and approval authority. To apply for general business projects, the applicant shall independently select one or more business categories with reference to relevant regulations, and apply for registration directly to the enterprise registration authority according to law.

Article 11 To establish a company, the articles of association must be formulated according to law. The Articles of Association are binding on the Company, shareholders, directors, supervisors and senior management.

Article 12 The business scope of a company shall be stipulated in the articles of association and registered according to law. A company may amend its articles of association and change its business scope, but it shall register the change. Projects that are required to be approved by laws and administrative regulations in the company's business scope shall be approved according to law.
