Article 1 In order to establish the legal status and code of conduct of China Electric Power Construction Enterprise Association (hereinafter referred to as China Electric Power Construction Enterprise Association), safeguard and safeguard its legitimate rights and interests, and gradually standardize and develop China Electric Power Construction in accordance with the principle of marketization, these Articles of Association are formulated in accordance with relevant national laws and regulations.
Article 2 The Chinese name of this Association is China Electric Power Construction Enterprises Association. The English name is China Electric Power Construction Association, or CEPCA for short.
Article 3 China Electric Power Construction Association is a non-profit social organization legal person voluntarily formed by enterprises, institutions and organizations in the national electric power construction industry.
Article 4 China Electric Power Construction Association takes service as its purpose, implements industry management in the national electric power construction industry, represents the interests of its members, safeguards the legitimate rights and interests of enterprises, communicates the relationship between enterprises, and serves the government and enterprises.
China Power Construction Company abides by the national constitution, laws, regulations and policies, and abides by social ethics.
Article 5 China Electric Power Construction Association accepts the management and business guidance of the State-owned Assets Supervision and Administration Commission of the State Council (hereinafter referred to as SASAC) and the supervision and management of the Ministry of Civil Affairs.
China Electric Power Construction Association is affiliated to China Electric Power Enterprise Association (hereinafter referred to as China Electricity Council).
Article 6 The domicile of China Electric Power Construction Association is No.2 1 Baiguang Road, Xuanwu District, Beijing.
Chapter II Scope of Business
Article 7 The business scope of China Electric Power Construction Association:
First, carry out research on management science related to electric power construction among members of the association, discuss relevant policies, communicate relevant information and exchange experiences.
Second, carry out technical exchanges and promotion activities.
3. Handle related business matters entrusted by SASAC and other government departments, China Electric Power Enterprise Association and member units.
Four, to provide advice and information for members or clients of the association, organize training and business visits.

Chapter III Members
Article 8 China Electric Power Construction Association is composed of legal person members.
Article 9 A member applying to join China Electric Power Construction Association must meet the following conditions:
First, support the constitution of China Electric Power Construction Association;
2. Willing to join China Electric Power Construction Association;
3. Units that meet Article 3 of Chapter 1 of the Articles of Association.
Article 10 Membership procedures
1. Submit membership application;
Second, it was discussed and approved by the president's meeting;
3. Send a membership card to China Electric Power Construction Association.
Article 11 Members shall enjoy the following rights
1. The right to vote, to be elected and to vote of China Electric Power Construction Association;
2. Participate in the activities of China Electric Power Construction Association;
Third, get the information and service priority of China Electric Power Construction Association;
4. Criticism, suggestions and supervision on the work of China Electric Power Construction Association;
5. Right to join voluntarily and freedom to quit.
Article 12 Members shall perform the following obligations
1. Implement the resolution of China Electric Power Construction Association;
Second, safeguard the legitimate rights and interests of China Electric Power Construction Association;
Third, complete the task assigned by China Electric Power Construction Association;
4. Pay membership dues according to regulations;
5. Reflect the situation to China Electric Power Construction Association and provide relevant information and materials.
Article 13 When a member withdraws from the meeting, he shall notify China Electric Power Construction Association in writing and return his membership card.
Article 14 If a member seriously violates the Articles of Association, he shall be removed from the membership by voting at the board of directors or the meeting of presidents.
Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge
Article 15 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:
First, listen to and review the work report and financial report of the Council;
Second, formulate and amend the articles of association;
3. Election and removal of directors;
4. Decided to terminate;
5. Decide on other important matters.
Article 16 A member congress can only be held when more than two thirds of the members' representatives are present, and its resolution can only take effect when it is passed by more than two thirds of the members' representatives.
Article 17 The general meeting of members shall be held every four years. The members' congress is composed of representatives of group member units. If it is necessary to change the time limit in advance or postpone it for special reasons, it must be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.
Article 18 The Council is the executive body of the general meeting of members, and its members are elected by the national general meeting of members. When the congress is not in session, lead the China Electric Power Construction Federation to carry out its work and be responsible for the congress.
Article 19 The functions and powers of the Council:
First, the implementation of the resolutions of the member congresses;
2. To elect and recall the president, vice-president and secretary-general;
Third, prepare to hold a member congress;
Four, report the work and financial situation to the members' congress;
Verb (abbreviation of verb) determines the development and expulsion of members;
6. Decide to establish offices, branches, representative offices and entities;
Eight, formulate internal management systems and rules and regulations;
9. Decide on other important matters.
Article 20 The board of directors shall be convened once a year, and it shall be convened only when more than two thirds of the directors are present. The board of directors is called by the president. Special circumstances can be held by means of communication.
Article 21 When the general assembly is not in session, the Council shall implement the resolutions of the general assembly.
Twenty-second China Electric Power Construction Association has a meeting of directors, which consists of the chairman, vice chairman, secretary general and deputy secretary general. When the board of directors is not in session, it is responsible for the daily work and is responsible to the board of directors. Exercise the functions and powers of Article 19, paragraphs 1, 3, 5, 6, 7 and 8.
Article 23 The meeting of presidents shall be held at least once or twice a year, and it shall be held only when more than two thirds of the members are present, and its resolution shall take effect only when more than two thirds of the members vote. Under special circumstances, it can be held by communication.
Twenty-fourth China electric power construction association president, vice president, secretary general and deputy secretary general must meet the following requirements:
First, adhere to the party's line, principles and policies with good political quality;
Two, in the power construction industry has a certain reputation, influence, familiar with certain business;
3. The maximum age of the president, vice-president and secretary-general shall not exceed 65.
Fourth, be healthy and be able to persist in work;
Five, with full capacity for civil conduct, has not been deprived of political rights of criminal punishment.
Article 25 China Electric Power Construction Association shall, according to the characteristics of the industry, set up professional committees such as thermal power construction, hydropower construction, power transmission and transformation construction, electric power construction projects, statistical sub-committees, electric power engineering commissioning sub-committees, electric power engineering supervision sub-committees, hydropower engineering supervision sub-committees, safety sub-committees and information sub-committees. The above-mentioned special committees (sub-committees) are all branches of China Electric Power Construction Association.
Twenty-sixth according to the needs of business, China Electric Power Construction Association can hire leaders of government departments, leaders of China Electric Power Enterprise Association, experts and scholars as consultants, and the age is not more than 70 years old.
Article 27 The organization and business of each branch shall be discussed and decided by the chairman's meeting.
Article 28 If the president, vice-president and secretary-general of China Electric Power Construction Association are over the working age, they must be approved by the Council, reported to the competent business unit for examination and approval, and then they can continue to serve.
Article 29 The president is the legal representative of China Electric Power Construction Association, and the president does not concurrently serve as the legal representative of other associations.
Thirtieth President of China Electric Power Construction Association shall exercise the following functions and powers:
1. Convene and preside over meetings of the board of directors or presidents;
Two, check the implementation of the resolutions of the members' congress and the Council;
Three. Sign relevant important documents on behalf of the association.
Fourth, lead the work of the headquarters of China Electric Power Construction Association.
Article 31 The vice president of China Electric Power Construction Association shall assist the president to complete his duties.
Article 32 The Secretary General of China Electric Power Construction Association shall exercise the following functions and powers
1. Assist the president to preside over the daily work of the department and organize the implementation of the annual work plan;
Second, coordinate the work of all branches and entities;
Three, the deputy secretary general and the principal responsible persons of various offices, branches and units, submitted to the president's meeting for decision;
Four, put forward the employment opinions of staff in offices, branches and units, and submit them to the president for decision;
Article 33 The Deputy Secretary-General shall assist the Secretary-General in his work.
Chapter V Principles of Asset Management and Use
Article 34 Sources of funds of China Electric Power Construction Association
1. membership fee;
Second, government funding;
3 donations from domestic enterprises, institutions and social organizations;
Income from activities or services provided within the approved business scope;
5. interest;
6. Other lawful income.
Thirty-fifth China Electric Power Construction Association collects membership fees in accordance with the relevant provisions of the state.
Article 36 The funds of China Electric Power Construction Association must be used for the business scope and career development as stipulated in the articles of association, and shall not be used for other purposes.
Thirty-seventh China Electric Power Construction Association must establish a strict financial management system to ensure that accounting information is legal, true, accurate and complete.
Thirty-eighth China Electric Power Construction Association's asset management must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the assets come from state grants or social donations or subsidies, they must accept the supervision of audit institutions and publish the relevant information to the corresponding scope in an appropriate way.
Article 39 Before changing its term of office or replacing its legal representative, China Power Construction Association must accept the financial audit organized by the association registration authority and the competent business unit.
Fortieth, no unit or individual may occupy, privately divide or misappropriate the assets of China Electric Power Construction Association.
Chapter VI Procedures for Amending the Articles of Association
Forty-first amendments to the articles of association of China Electric Power Construction Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 42 The revised articles of association of China Electric Power Construction Association shall come into effect within 15 days after it is adopted by the members' congress, reviewed and agreed by the competent business unit, and approved by the registration authority of the association.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 43 If China Electric Power Construction Federation has completed its purpose or dissolved itself or needs to be cancelled due to separation or merger, the board of directors or the chairman's meeting shall propose a termination proposal.
Article 44 The motion to terminate China Electric Power Construction Association shall be passed by the members' congress and submitted to the competent business unit for examination and approval.
Article 45 Before the termination of CLP, a liquidation organization shall be established under the guidance of the competent business unit and relevant departments to clear up the creditor's rights and debts. Deal with the aftermath, and during the liquidation period, do not carry out activities other than liquidation.
Article 46 The CLP Association shall be terminated after the cancellation of registration by the association registration authority.
Article 47 Under the supervision of the competent business unit and the association registration authority, the remaining property after the termination of CLP shall be used for the development of undertakings related to the purpose of the group in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 48 The Articles of Association was adopted by the members' congress on June 65438+1October 65438+1October 065438+1October 2005.
Article 49 The right to interpret these Articles of Association belongs to the Council of China Electric Power Construction Association.
Article 50 The Articles of Association shall come into force as of the date of approval by the association registration authority.
