Chapter I General Principles
Article 1 Name of Association: China Scrap Application Association.

Article 2 This Association is a national non-profit self-regulatory industry management organization in China, which is engaged in the application, recycling, processing, distribution and trading of scrap steel, the development and utilization of metallurgical slag, and the production enterprises and suppliers of scrap steel processing equipment, testing equipment and metallurgical slag treatment equipment, as well as relevant scientific research institutes and universities. It is a legal entity established according to law.
Article 3 Purpose of the Association: to serve members, industries and the government. Safeguard the legitimate rights and interests of members and maintain the market economic order of fair competition; Safeguard the overall interests of the whole industry; Safeguard the interests of the state and the nation; Give full play to the role of bridge and link between government and enterprises, and promote the rapid and healthy development of China's scrap industry.
Article 4 Guided by the Party's basic line and theory, we shall abide by the constitutions, laws, regulations and policies of the people of China and China. Shall not harm the national interests, social interests, other organizations and citizens' legitimate rights and interests.

Article 6 The competent unit of this Association is the State-owned Assets Supervision and Administration Commission of the State Council, and the organization registration organ is the Ministry of Civil Affairs. Article 7 The Association joined the International Recycling Bureau (BIR) of the World Recycling Organization in accordance with the law on 1995 and became a gold card member.

Chapter II Basic Functions and Business Scope
Article 9 The basic functions and business scope of this Association are:

Chapter III Members
Article 10 The members of this Association are unit members, and individual members are not accepted.
Article 11 A member applying to join this Association must meet the following requirements:
(1) A legal organization registered in China;
(2) Supporting the articles of association;
(3) Having the will to join the Association, and having a certain scale of production and operation and credibility in scrap steel and related fields.
Article 12 Membership procedures for members of this Association:
(1) Submit an application for membership, a copy of the registration certificate of the enterprise as a legal person and a brief introduction of the enterprise;
(2) After investigation and registration, it shall be discussed and approved by the Standing Council of the Association;
(three) by the Council authorized the association secretariat to membership certificate.
Article 13 Members shall enjoy the following rights:
(1) The election, the right to be elected and the right to vote of this Association;
(two) to attend the general meeting of members and participate in various activities organized by the association;
(three) the priority of obtaining the services of the association;
(four) to put forward suggestions, requirements or criticisms on the work of the association, and enjoy the right of supervision;
(5) The right to leave the meeting freely.
Article 14 Members shall perform the following obligations:
(1) Abide by the articles of association and implement the resolutions of the Association;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(five) to reflect the situation to the association and provide relevant information and statements.
Article 15 Members shall notify the Association in writing and return their membership cards. If a member is absent for no reason for two consecutive years,

Chapter IV Organization and Person in Charge
Seventeenth the highest authority of this association is the member congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(two) to elect and recall the directors, chairman and vice chairman of the Association and decide on the legal representative of the Association;
(three) to consider the work report and financial report of the Council;
(four) to discuss and decide on major issues such as the termination of the association;
(5) formulate membership fee standards.
Article 18 A member congress can only be held when more than two thirds of the members' representatives are present, and its resolutions must be passed.
It can only take effect if more than half of the members present vote.

Article 20 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 21 The functions and powers of the Council of this Association are:
(a) to implement the resolutions of the members' congress;
(two) to propose candidates for the chairman and vice chairman to the general assembly, and to elect and recall the Secretary-General;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb and recall members;
(six) to decide on the establishment, alteration and cancellation of offices, branches, representative offices and other entities;
(seven) according to the nomination of the Secretary-General, to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of each branch;
(eight) to lead the institutions and personnel of the association to carry out their work;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 22 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolution shall be adopted by two thirds of the directors present.
Only by voting can it take effect.
Article 23 The Council shall meet at least once a year; Under special circumstances, the meeting can also be held in the form of communication.
Article 24 The Association shall establish a standing council. The executive board is elected by the board of directors, and the executive director

Article 28 The Association has 1 director and 15-20 deputy directors. The chairman and vice-chairman are directors.
Will be nominated from the directors, elected by the general assembly, reported to the China Iron and Steel Industry Association for the record, and reported to the Ministry of Civil Affairs for approval.
Article 29 The Association shall have an executive vice president 1 person, who can devote his main energy to the work of the Association.

Article 33 The chairman of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of the Association.
Article 34 The executive vice president of this Association shall exercise the following functions and powers:
(a) to assist the chairman to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(two) to deal with major issues decided by the daily needs association;
(three) to coordinate the daily work of the association with relevant state departments, organizations and enterprises;
(four) to inspect and guide the work of the secretariat of the association.
Article 35 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to assist the chairman and executive vice chairman in their work, preside over the daily work of the secretariat of the Association and organize practical work.
Implement the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating candidates for deputy secretaries-general and heads of branches and submitting them to the Council for approval;
(four) to be responsible for the employment of full-time personnel in offices, representative offices and other entities;
(5) Handling other daily affairs of the Association.
Article 36 The Association shall have a secretariat, which is the permanent office of the Association and is responsible for the daily affairs of the Association. The Secretariat is headed by the Secretary-General and is accountable to the Council.
Article 37 The full-time staff of the Secretariat shall be appointed, and the Secretary-General shall sign employment contracts with the employed staff every year. The full-time staff employed should be gradually younger and more professional, and the age of first employment should not exceed 56 years old, and the length of service should not exceed 62 years old. According to the needs of the work, experts and scholars with senior titles can be hired appropriately.
Article 38 The Association shall set up 4-5 professional committees to facilitate various professional work. The professional committee is a part of the Association, and it has no legal personality, and its legal responsibility shall be borne by the Association. Chapter V Financial and Asset Management
Article 39 The sources of funds of this Association are:
(1) Membership dues paid by member units;
(two) donations from relevant units and individuals;
(3) Funding from relevant government departments;
(four) income from consulting, training or other paid services within the approved business scope;

Article 40 The Association shall collect membership fees in accordance with the relevant provisions of the State and the standards set by the Association. Fee collection standard

Article 44 The asset management of this Association must implement the financial management system stipulated by the state and accept the issuance by members.
Under the supervision of the General Assembly and the financial department, if the source of assets belongs to state appropriations or social donations and subsidies, it must accept the supervision of audit institutions and disclose the relevant information to the public in an appropriate way.

Chapter VI Procedures for Amending the Articles of Association
Forty-eighth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress.

Chapter VII Change Procedures

Chapter VIII Termination Procedure and Property Disposal after Termination

Article 57 This Association shall be terminated after the cancellation of registration by the organization registration administration organ of the Ministry of Civil Affairs.

Chapter IX Supplementary Provisions
