Chapter I General Principles

Article 1 Name of Chamber of Commerce: Hubei Chamber of Commerce in Fujian Province (hereinafter referred to as the Association)

English translation: Fujian Hubei Chamber of Commerce

English abbreviation: FJHBCC

Article 2 Nature of the Association: The Association is a provincial, joint and non-profit social group composed of various industrial and commercial enterprises, entrepreneurs, professional managers, senior business people and managers in Fujian and Hubei.

Article 3 Purpose of the Association: strengthen exchanges between Hubei and Fujian, promote cooperation between the two provinces, make contributions to the construction of a harmonious society and the economic development of Hubei and Fujian, take honesty as the foundation, put service first, and safeguard the legitimate rights and interests of members; Friendship with local accent, building a service platform, promoting information exchange and promoting the development of * * *.

Article 4 The competent business unit of this Association is Fujian Federation of Industry and Commerce; The registration authority of the association is the Civil Affairs Department of Fujian Province. The association accepts the business guidance, supervision and management of the competent business unit and the association registration authority.

Article 5 The meeting place of this Association: Fuzhou, Fujian Province.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(1) To publicize laws, regulations and policies, and guide and promote members to operate according to law;

(two) to reflect the voices of members, safeguard the legitimate rights of members, and assist members to coordinate their relations with society;

(3) unite with members to promote economic and trade cooperation between Fujian and Hubei;

(4) Organizing members to conduct exchanges, mutual visits, inspection, study, training and other activities; Strengthen the horizontal contact of members, strengthen information communication, encourage resource sharing and promote the scientific and sustainable development of members;

(five) to assist the government or enterprises to carry out exhibitions and investment promotion activities;

(six) to provide information consulting services for members in science and technology, economy, law, accounting, auditing, tax agency, evaluation, management and financing;

(seven) to carry out fellowship activities between members and villagers;

(eight) to provide logistics support and reception services as far as possible for economic and trade exchanges and personnel exchanges between Hubei and Fujian.

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Having the will to join this Association;

(3) Conforming to the nature of this Association.

Article 9 Membership procedures:

(1) submitting an application for membership;

(two) the members of the group submit their business conditions and relevant certificates, and the individual members submit their resumes and relevant certificates;

(3) To apply for membership, two members must recommend it;

(four) discussed and approved by the president's office meeting;

(5) Membership card issued by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to criticize, suggest and supervise the work of this association;

(three) to participate in the activities of this association;

(four) to obtain the priority of our service;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) to safeguard the legitimate rights and interests of the association;

(three) to undertake and complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(5) Report the situation to this Council and provide relevant information.

Article 12 When a member withdraws from the club, he shall notify the club in writing and return his membership card. If a member refuses to fulfill his obligations as a member without any reason, it shall be deemed as automatically withdrawing from the meeting.

Thirteenth members who seriously violate the articles of association, maliciously slander the image of the association or damage the reputation of the association, shall be publicly condemned and removed after the vote of the Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing directors to form the Council;

(3) Electing supervisors to form the board of supervisors;

(four) to consider the work report and financial report of the Council;

(5) To review the work report of the Board of Supervisors;

(six) to formulate and revise the membership fee standards;

(7) Deciding to terminate.

(eight) to decide on other major issues.

Article 15 A general meeting of members shall be held once every session, and it shall be held only when more than two-thirds of the members' representatives are present, and its resolution shall take effect only after being approved by more than 1/2 of the members' representatives present.

Article 16 The general meeting of members shall be held every five years. If the general election is postponed due to special circumstances, it must be voted by the Council, reported to the competent business unit for review and approved by the community registration authority. The longest extension of the term of office shall not exceed one year.

Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(5) Deciding to establish offices, branches, representative offices and entities;

(six) decided to hire honorary president, honorary vice president, senior consultant and consultant;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the work of the institutions of this Association;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 19 A meeting of the board of directors shall be convened only when more than 65,438+0/2 directors are present, and its resolutions shall take effect only when more than 65,438+0/2 directors are present to vote.

Article 20 The Council shall meet once a year; Under special circumstances, an exchange meeting can also be held.

Article 21 The Association shall set up an office meeting of the president. The president's office meeting consists of the president and the vice president. The chairman and vice-chairman of the board of supervisors attended the president's office meeting as nonvoting delegates. The president's office meeting is responsible to the Council, and when the Council is not in session, it exercises the functions and powers of Article 18 except items (2) and (4).

Twenty-second president's office meeting is generally held once a month, which can be held in the form of on-site meeting, remote communication and letter. The resolution can only take effect with the consent of more than two-thirds of the president.

Article 23 The President, Vice-President, Secretary-General, Supervisor and Deputy Supervisor of the Board of Supervisors of this Association must meet the following requirements:

(1) Abide by national laws and regulations, and have good political quality and high comprehensive quality;

(2) It has great influence in the business field of the Association;

(3) The maximum working age is no more than 70 years old;

(four) good health, fairness and justice, honesty and trustworthiness, and enthusiasm for the work of the association;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 24 The chairman, vice-chairman, secretary-general, supervisor and deputy supervisor of the board of supervisors who are over the maximum working age can take up their posts only after being approved by the board of directors, reported to the competent business unit for examination and approved by the registration administration organ of the association.

Article 25 The term of office of the President, Vice President, Secretary General, Chairman and Vice Chairman of the Board of Supervisors is five years.

Article 26 The president shall be the legal representative of this Association, and the legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 27 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to convene and preside over the president's office meeting;

(three) to check the implementation of the resolutions of the members' congress and the Council;

(4) Signing important documents on behalf of the Association;

(5) The vice president assists the dean in his work.

Article 28 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and units;

(4) Handling other daily affairs;

(5) The Deputy Secretary-General assists the Secretary-General in his work.

Article 29 The Association shall set up a board of supervisors to supervise the work of the Council, and be responsible to the members' congresses and report on their work. The board of supervisors consists of the chairman, vice chairman and supervisor.

Article 30 The Board of Supervisors shall exercise the following functions and powers:

(a) to supervise the implementation of the resolutions of the members' congresses by the Council;

(2) to supervise the income and expenditure of funds;

(3) proposing to convene an interim member congress;

(4) Attending board meetings;

(5) Drafting the work report of the Board of Supervisors and submitting it to the members' congress for deliberation;

(6) Other rights granted by the general meeting of members.

Article 31 The meeting of the Board of Supervisors follows the principle of democratic centralism. At the meeting, the supervisors have the right to fully express their opinions and suggestions, and have the right to agree, abstain and object to the resolutions to be voted. Once the resolution is made, all supervisors shall abide by it.

Article 32 The chairman of the board of supervisors is the person in charge of the board of supervisors, who is fully responsible for the daily work of the board of supervisors and exercises other supervisory powers granted by the board of supervisors. The supervisors and deputy supervisors of the Board of Supervisors are elected by the Board of Supervisors, and the deputy supervisors assist the supervisors in their work.

Chapter V Principles of Asset Management and Use

Thirty-third sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) Interest and wealth management income;

(6) Other lawful income.

Article 34 The Association shall, in accordance with the relevant provisions of the State, collect membership fees according to the resolutions of the general meeting of members. The formulation and revision of the membership fee standard of this association must be voted by the member congress and passed by more than half of the members present at the congress. After examination and approval, the membership fee standard shall be reported to the competent business unit, the association registration authority and the financial department for the record within 30 days.

Article 35 The funds of this Association shall be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 36 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 37 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accounting must carry out accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 38 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 39 Before the association changes its legal representative, it must accept the financial audit organized by the competent business unit.

Article 40 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 41 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to relevant regulations.

Chapter VI Procedures for Amending the Articles of Association

Forty-second amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 43 The revised Articles of Association shall come into effect within 15 days after it is adopted by the members' congress, agreed by the competent business unit and approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 44 If the association has completely achieved its purpose or is dissolved or needs to be revoked due to division or merger, the Council shall propose a termination motion.

Article 45 The motion to terminate this Association must be voted by the members' congress and submitted to the competent business unit for examination and approval.

Forty-sixth before the termination of this association, a liquidation organization should be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 47 The association shall terminate after the cancellation of registration.

Article 48 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration administration organ of this Association in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 49 The Articles of Association was adopted by the general meeting of members on June 8, 2008.

Article 50 The right to interpret these Articles of Association belongs to the Council of this Association.

Article 51 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
