Article 8 After accepting the handover procedures of the leased house, Party B shall properly protect the boundary markers and shall not move them without authorization.

Article 9 If Party B needs to build, expand or rebuild buildings in the leased premises, it must obtain the written consent of Party A and go through relevant examination and approval procedures according to regulations. Article 10 When the land lease expires and the performance of this contract is terminated at the same time, Party B shall return the land use right lease certificate to the _ _ _ _ _ _ _ Bureau of Land and Resources, and go through the cancellation registration procedures for the land use right lease.

I. Overview of the plot

1. The plot is located in Haikou City, with a land area of 2,000 square meters (mu).

2. At present, the land use is commercial and residential, which belongs to development land.

Second, the transfer method

1. Party A and Party B are established by capital contribution? Real Estate Development Co., Ltd. 2. Party A guarantees to transfer the land transferred by Party A to the name of the cooperative company within one month after the issuance of the business license of the cooperative company.

And ensure that the plot ratio is greater than or equal to 2.0, the greening rate is not less than 30%, the building density is not less than 25%, and the land use is commercial and residential land.

2. In the second phase, after the land to be transferred is registered and accepted by the Bureau of Land and Resources and transferred to the cooperative company, both parties sign a share transfer agreement, and Party B pays 30% of the land price, totaling RMB 2 million.

In the third phase, 55% of the land price, amounting to 3.685 million yuan, will be paid within 65,438+00 working days after the state-owned land use certificate of this plot is completed, and the remaining 65,438+00% will be paid within 10 days after the planning permit is completed.

4. In order to ensure the timely payment of the land price in the first phase of the preceding paragraph, Party A shall first handle the transfer agreement for the cooperative company to purchase the transferred land, so as to ensure that the implementation progress of the transfer and other work is consistent with this agreement.

5. This project is operated by Party B independently and is responsible for its own profits and losses.

Party A is willing to help Party B solve the development index, tax rebate, policy coordination and other related issues.

Third, the liability for breach of contract

1. Party A invites Party B to participate in the third-party transfer of its mu of land and promises to create conditions for Party B to acquire the land. If Party B fails to obtain the plot, Party A is willing to double the deposit, totaling 670,000 yuan, and pay it within 20 working days from the date of confirming that Party B cannot obtain the land use right of the plot.

2. If Party B fails to pay the land price on time, it shall pay Party A a 2. 1 ‰ overdue fine for the unpaid part every day.

If the payment is not made on time for more than 20 working days, the performance of this agreement shall be deemed to be terminated, and the deposit paid shall be entitled to be disposed of.

3. Party A and Party B shall bear the relevant expenses for the registration of the cooperative company.

Fourth, others.

1. In the process of land transfer, Party B only bears the land deed tax and transaction costs that should be borne by the transferee, and other related business taxes shall be borne by Party A separately.

2. Party B's development and construction shall go through relevant procedures in accordance with laws, regulations and provisions.

3. Matters not covered in this Agreement shall be settled by all parties through negotiation, and corresponding supplementary agreements shall be signed, which have the same legal effect as this Agreement.

4. In case of any contradiction or dispute during the execution of this agreement, if negotiation fails, it shall be submitted to the court for adjudication.

5. This agreement shall come into effect after being signed and sealed by representatives of all parties.

Article 11 The conclusion, validity, interpretation, performance and dispute settlement of use contracts in this area shall be protected and governed by the laws of People's Republic of China (PRC).

If the laws of People's Republic of China (PRC) do not stipulate a matter related to this contract, international business practices shall be referred to.
