The conditions for changing a company as a legal person are as follows:
1, the legal person dies or is dissolved due to negligence;
2. The legal person fails to perform his duties or cannot perform his duties;
3. The legal person resigns, or the post is transferred.
The specific replacement procedure is as follows:
1. The applicant may submit an application to the company registration authority, or submit an application by letter, telegram, telex, fax, electronic data interchange and e-mail.
2. Submit the application for change registration signed by the legal representative of the company;
3. The company registration authority shall make a decision on whether to accept or not according to the following circumstances;
4. The registration authority shall, according to the application, make a decision on whether to approve the registration within the prescribed time limit;
5. If the company decides to approve the change of registration, it shall issue a Notice of Approval of Change of Registration and inform the applicant to renew the business license within 10 days from the date of decision.
Legal basis: Article 13 of the Company Law of People's Republic of China (PRC).
The legal representative of the company shall be the chairman, executive director or manager in accordance with the articles of association, and shall be registered according to law. Where the legal representative of the company changes, it shall go through the registration of change.
Article 7
A company established according to law shall be issued a business license by the company registration authority. The date of issuance of the business license of the company is the date of establishment of the company.
The company's business license shall specify the company's name, domicile, registered capital, business scope, name of legal representative and other matters.
Where the matters recorded in the company's business license change, the company shall register the change according to law, and the company registration authority shall issue a new business license.
