Article 1 The name of this society is China Planning Society (full name in English is CHINA WIT COMMTTEE), and it is registered in People's Republic of China (PRC) government. (hereinafter referred to as "Association")
Article 2 China Planning Institute is a self-regulatory planning industry organization that China planners voluntarily join, and it is a non-profit academic institution.
Article 3 Purpose of the Association: Abide by government laws and regulations and follow international practices and rules. Standardize and develop the planning industry, study and publicize the planning theory, strengthen international exchanges and cooperation, cultivate international outstanding planning talents, improve the professional standardization, systematization and scientificity of planners, and comprehensively promote the development of China's planning industry.
Article 4 This Association accepts the professional guidance, supervision and management of the competent departments and registration management agencies.
Article 5 The headquarters of the Association is located at Block G 1 2, Hong Kong Tower, Yihe Street1Causeway Bay, Hong Kong, and the secretariat is located in Beijing, China.
Chapter II Scope of Responsibilities
Article 6 The scope of duties of this Association
(a), the establishment of the "planning qualification certification standards" and "planning qualification certification work procedures", do a good job in the training and qualification certification of planners, planning directors and planning managers. Establish "Standards for Qualification Certification of Planning Organizations" and "Procedures for Qualification Certification of Planning Organizations", do a good job in rating and training planning organizations, and formulate self-discipline conventions that China's planning industry should abide by.
(two) to urge members to implement relevant laws, regulations and rules.
(3) Abide by relevant laws, regulations, policies and industry practices, restrain and standardize market behaviors, and coordinate industry relations among members.
Business relationship, accept the negotiation of the parties.
(four), to safeguard the legitimate rights and interests of planners and planning institutions, and to reflect the same wishes and suggestions to government departments on behalf of planners.
(five) to organize the investigation and study of the planned market and provide members with market research, information consultation, training and other services.
(six), accept the relevant matters entrusted by the government.
Chapter III Scope of Business
Article 7 The work of this Association is based on the development policy of self-reliance, autonomy and self-support. Business scope includes:
(1) Standardize and develop the planning industry, study and publicize the planning theory, cultivate international outstanding planning talents, improve the professional standardization level of planners, and comprehensively promote the development of China's planning industry;
(two) to accept the special entrustment of international institutions, government departments, enterprises and institutions to carry out planning research and planning services;
(3) To carry out the qualification certification of planners and planning institutions in China, and hold various planning forums, planning seminars, annual meetings of planners, selection and certification of outstanding planners (planning institutions) according to the Standards for Qualification Certification of Planners, Rules for Qualification Certification of Planners and Rules for Qualification Certification of Planning Institutions;
(5) Actively organize international innovative professionals, planners, research institutions and relevant departments, continue to revise and improve the qualification certification standards, rules, standards and rules for planning institutions, and develop the curriculum system and teaching materials for planners.
(six) research, dissemination, promotion of planning theory and practical experience, selection of outstanding planning talents in China, editing and publishing "Planner" magazine, and improving consulting and information services;
(seven), play a bridge role, establish a team of planning experts combining academic research with practical experience, and do a good job in the entrusted work of government departments and enterprises;
(8) Promote the quality construction of planners, improve legal awareness, standardize their own behaviors according to law, and promote the healthy growth of planning teams;
(9) Investigate and analyze the laws of market economy in the planning industry, sum up new experiences, predict new trends, timely promote the planning achievements of advanced experiences, and organize planning forums and achievements exhibitions;
(ten), organize planning institutions, training institutions and related units to carry out international and domestic exchanges and cooperation, and actively build China social planner qualification certification and planning agency qualification certification brand;
(eleven), according to the principle of self-reliance, autonomy, self-support, strengthen the self-construction of this association, improve the professional quality and management level of the staff of this association.
Chapter IV Members
Article 8 Members of this Association are divided into group members and individual members.
Article 9 Anyone who is willing to recognize the articles of association, fulfill the rights and obligations of members and meet one of the following conditions may submit a written application and become a member of the association after approval;
(1) Members of organization (unit):
1. legally registered planning organization;
2 representative planning research institutions in China.
(2) individual members.
Individual members should first have the qualifications of planners and meet the following conditions;
1. those who support the articles of association of the association, are willing to join the association, and have made remarkable achievements in planning and innovative research;
2. The current leaders of the member units of the Association;
3. Planning research institutions and relevant experts and scholars.
Article 10 Membership procedures;
(1) Submit an application form for membership
(2) After discussion and approval by the Council, go through the membership procedures.
Article 11 Members shall enjoy the following rights:
(a) members have the right to deliberate, vote, vote and be elected;
(2) Members have the right to participate in various activities organized by the Association;
(3) Members can get our services first;
(four), members have the right to put forward opinions and suggestions on the work of this association, as well as criticism and supervision;
(5) Members of the Association are voluntary and free to withdraw from the Association.
Article 12 Members shall perform the following obligations:
(1) Abide by the rules formulated by this Council and implement the resolutions adopted by this Council;
(two) to safeguard the legitimate rights and interests of this association;
(3) Complete the tasks assigned by the Association;
(four), accept the investigation, truthfully reflect the situation, and provide the required information in a timely manner;
(5) Pay the membership fee on schedule (including publicity fee: member 500 yuan, director 1000 yuan, executive director 3000 yuan).
Article 13 A member who withdraws from the club shall notify the club in writing and return his membership card (card). If a member fails to pay the membership fee or participate in the activities organized by the association for one year, it will be deemed as automatic withdrawal.
Article 14 If a member seriously violates the Articles of Association, it shall be removed from the membership after discussion and approval by the Council or the Standing Council.
Chapter V Organizational Structure
Article 15 The highest authority of this Association is the members' congress. Members' congresses shall exercise the following functions and powers;
(a) to formulate and amend the articles of association;
(two), the election and recall of directors, secretary general, etc. ;
(3) Hearing and deliberating the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Article 16 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the representatives present vote.
Article 17 The term of office of the general meeting is five years. If it is necessary to advance or postpone the general election due to special circumstances, it must be approved by the board of directors, but the extension of the general election shall not exceed one year at the longest.
Article 18 The Council is the executive body of the general meeting of members, which carries out its work when the general meeting is not in session and is responsible to the general meeting of members.
Article 19 Functions and powers of the Council
(a), the implementation of the resolutions of the members' congress;
(two) to prepare for the convening of the members' congress;
(three), report to the members' congress work and financial situation;
(4) Electing and dismissing principals and vice-principals;
(5) To lead the work of various institutions of the Association;
(six) to formulate internal management system;
(7) Electing executive directors and confirming the addition or adjustment of directors and executive directors;
(eight), awarded the title of honorary director and honorary member;
(nine), awarded the title of honorary principal;
(10) To decide on other important matters.
Article 20 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 21 The term of office of the Council is five years, and it may be re-elected. The Council meets once a year; When necessary, it can be held by means of communication.
Article 22 The Association shall establish a standing council; The Standing Council is elected by the Council and exercises its functions and powers when the Council is not in session.
Article 23 The Standing Council shall be convened only when more than two-thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the managing directors present at the meeting.
Article 24 The Standing Council shall be convened twice a year, and may be convened by means of communication when necessary.
The functions and powers of the Standing Council:
(a), the implementation of the resolutions of the Congress and the Council;
(two) to confirm the proposal submitted to the Council for consideration;
(three) according to the nomination of the president, confirm the secretary general;
(four) to consider and approve the annual work plan and work report proposed by the Secretary General;
(five), to consider and approve the establishment or adjustment of professional committees.
Article 25 The Association shall establish a system of office meetings of presidents, which shall be held once every six months in principle. The main responsibilities of the president's office meeting;
(1) Deciding on the adjustment of individual directors, executive directors, consultants and leading members of the Secretariat;
(2) Deliberating and appointing honorary directors and conferring the title of honorary director;
(3) Approving the establishment and adjustment of professional committees;
(4) Deciding on the establishment of institutions such as the work and business of the Association and approving the internal management system of each institution;
(5) To study and deal with some urgent and major issues.
Article 26 The president, executive president, vice-president and secretary-general of this Association must meet the following conditions:
(a), the association has a greater influence in the field of business;
(2) Being in good health and able to stick to normal work;
(3) The highest post-holding age of the president, executive president, vice-president and secretary-general shall not exceed 65 years old;
(4) Having not been subjected to criminal punishment of deprivation of political rights;
(5) Having full capacity for civil conduct.
Article 27 The president, executive president, vice-president and secretary-general who have exceeded the maximum working age shall be approved by the board of directors before taking office.
Article 28 The person in charge of this Association shall be the president. The secretariat is the permanent office of the Association and is responsible for handling the daily work of the Association. The secretary-general works under the leadership of the chairman. The Secretary General shall be nominated by the President and approved by the Standing Council; The Deputy Secretary-General shall be nominated by the Secretary-General and submitted to the President for approval.
Article 29 The President of this Association shall exercise the following functions and powers:
(a), presided over the members' congress, the Council, the Standing Council and the president's office meeting;
(two), to consider the resolutions and implementation of the members' congress, the Council, the Standing Council and the president's office meeting;
(3) Signing relevant major documents on behalf of the Association;
(four) on behalf of the association to deal with major issues;
(five) to supervise the work of the Secretary General;
(6) Organizing and coordinating the work of all branches.
Article 30 The Secretary General shall exercise the following functions and powers
(a), responsible for the daily affairs of the secretariat;
(two) to organize the implementation of the resolutions of the Council, the Standing Council and the President's meeting;
(three) according to the needs of the work, to lead the work of the secretariat, and to decide on the appointment of internal organs and management personnel of the secretariat with the approval of the chairman;
(four), the internal management system, and report to the president's office meeting for approval;
(five) to nominate the deputy secretary general and the director and deputy director of the relevant industry planning expert group to the president;
(six) the appointment of leaders of all departments of the Planning Institute and members of relevant planning expert groups;
(6) Handling other matters authorized by the President.
Chapter VI Principles of Asset Management and Use
Thirty-first sources of funds of the Association;
(1) membership fees;
(2) donation;
(3) funds;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 32 The Association shall collect membership fees in accordance with relevant regulations.
Article 33 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
When a member withdraws from the club or is removed from the club, he shall not be required to return the paid membership fees, funds or donated assets. Commercial investment shall be handled in accordance with the commercial cooperation regulations of this association. Expenditure is used for:
(a), full-time staff wages, benefits and consultant subsidies;
(2) Daily office, meeting, travel, reception and other expenses of the Association;
(3) Operating expenses for holding various activities;
(four), incentive funds and other necessary expenses.
Article 34 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information;
Article 35 An association shall be equipped with accountants with professional qualifications. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 36 The assets of this Association shall abide by the financial management system stipulated by the government and accept the supervision of the general meeting of members and relevant departments. If the assets come from social donations or subsidies, they must accept the supervision of audit institutions and publish relevant information to the public in an appropriate form.
Article 37 Before the association changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business department.
Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Chapter VII Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association shall be submitted to the members' congress for deliberation after being voted by the Council.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the members' congress, reviewed by the competent authority and reported to the registration authority for approval.
Chapter VIII Termination Procedure and Financial Treatment after Termination
Article 41 If the association completes its purpose or disbands itself or needs to be revoked due to separation, cooperation and other reasons, it shall be proposed by the Council.
Or the Council proposes to terminate the agreement.
Article 42 the termination of the agreement of this association must be approved by the members' congress and reported to the competent unit for approval.
Article 43 The Association shall terminate after the cancellation of registration by the registration authority of the Hong Kong Special Administrative Region.
Article 44 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration authority in accordance with relevant regulations.
Chapter IX Supplementary Provisions
Article 45 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 46 The Articles of Association shall come into force as of the date of approval by the registration authority.
