Chapter I General Principles

Article 1 The name of this Association is Henan Construction Project Bidding Association, and the English name is Henan Construction Project Bidding Association. The abbreviation is HNPCEBA.

Article 2 This Association is a local trade organization in Henan Province, which is composed of enterprises, institutions and individuals engaged in construction project bidding in the province voluntarily, and is a non-profit social organization registered in the Provincial Civil Affairs Department.

Article 3 The purpose of this Association is:

Adhere to the party's basic line, abide by the national constitution, laws and regulations, abide by social ethics, cooperate with the construction project bidding work of enterprises and institutions in the province, closely carry out activities around the construction project bidding specialty, and actively serve the development of the government, members and industry.

Article 4 The Association shall accept the business guidance, supervision and management from the competent business unit, the Henan Provincial Construction Department and the Henan Provincial Civil Affairs Department, the registration administration organ.

Article 5 The meeting place of this Association is located at No.0/03, Jinshui Road, Zhengzhou City, with No.2 attached.

Chapter II Scope of Services

Article 6 The service scope of this Association:

(a) to study and discuss the direction, theory, principles and policies of establishing the socialist market economic system, cultivating and developing the physical construction market, and strengthening the bidding and contract management, and to conduct special research entrusted by the government and put forward economic, technical and policy suggestions for the development of the industry to the relevant government departments;

(two) to assist the government departments in charge of the industry to formulate and implement the industry development plan, promote the construction of the physical construction market, establish and improve the self-discipline mechanism of the bidding industry, and maintain the order of bidding activities;

(three) to carry out the training of professional management personnel in the construction market, bidding and construction contract, and improve the quality of management personnel in the bidding industry;

(four) to expand foreign exchanges, strengthen industry cooperation, promote advanced experience, commend and reward outstanding units and talents in the industry. Editing and publishing theories, experiences and information about the construction market and bidding, and organizing academic exchange activities about the construction market, bidding and construction contracts;

(five) entrusted by the administrative department of construction, to participate in the specific work of qualification examination of bidding agencies for construction projects;

(six) to carry out consulting services, safeguard the legitimate rights and interests of members, and play a role as a bridge and link between the construction administrative department and members.

Chapter III Membership Article 7 Members of this Association are divided into unit members and individual members.

Article 8 Anyone who meets the following conditions may become a member of this Association:

1, supporting the articles of association;

2. Join the association voluntarily and fulfill the membership obligations in accordance with the articles of association of the association;

3, according to the relevant provisions of the association to fulfill the corresponding application and approval procedures;

Membership scope:

1. The unit members of this association are independent legal person organizations, and its scope mainly includes: bidding agencies for various construction projects; Construction engineering trading centers at all levels; Construction unit (including colleges and universities); Construction enterprises, survey and design enterprises and engineering supervision enterprises; Construction project bidding offices at all levels.

2. Individual members of the Association shall have the civil rights of the people of China and the capacity for civil conduct stipulated by law, have certain positive influence and achievements in the industry or related fields, and are enthusiastic about the work of the Association.

Article 9 This Association implements dynamic management of membership, and the acquisition, suspension and cancellation of membership shall be handled according to the following procedures:

(1) Acquisition of membership:

1. Submit the application for membership to the Association;

2, discussed and approved by the Council or the Standing Council;

3, by the secretariat for registration, sent to membership certificate.

(2) Suspension and cancellation of membership:

1. If a member voluntarily suspends his/her qualification, he/she shall put forward a written proposal, and the secretariat shall handle the relevant cancellation procedures after the approval of the Council or the Standing Council;

2. If a unit or individual member loses the corresponding legal person or citizen qualification for some reason, the secretariat of the Association shall make a proposal to the Council or the Standing Council and cancel the registration after approval.

3. If a member needs to cancel his membership due to voluntary withdrawal or violation of laws, regulations, disciplines or industry self-discipline, it shall be proposed by the secretariat of the Association and cancelled after approval by the Council or the Standing Council.

Article 10 Members shall enjoy the following rights:

(a) The right to vote, to be elected and to vote;

(two) have the right to reflect the concerns of enterprises and industries to this Council, and put forward opinions and suggestions;

(3) Have the right to participate in various activities organized by the Association;

(four) have the right to obtain information, technology, consulting and other services;

(five) have the right to suggest, criticize and supervise the work of this association;

(6) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

1. Abide by the articles of association of this Association and implement the resolutions of this Association;

2. Safeguard the legitimate rights and interests of this Association;

3. Actively undertake the work entrusted by this Association and actively participate in various activities organized by this Association;

4. Pay membership dues according to regulations;

5 care about the work and development of the association, actively reflect the situation and provide relevant information.

Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to perform his obligations without reason or fails to pay his membership fee for one year, he will be deemed to have withdrawn from the meeting automatically.

Article 13 If a member seriously violates the articles of association, he/she shall be removed and his/her membership shall be cancelled upon the vote of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and the members' representatives are elected by various cities and departments. The functions and powers of the members' congress are:

1, to formulate and modify the Articles of Association;

2. Election and removal of directors;

3. To consider the work report and financial report of the Council;

4. Decided to terminate;

5. Decide on the working principles, tasks and other major issues of the Association.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 The members' congress is held once every four years. If it needs to be changed or postponed in advance due to special circumstances, it must be approved by the Council, reported to the competent authority of the association for review, and approved by the registration authority of the association. The longest extension of the change shall not exceed one year.

Article 17 The Council is the executive body of the general meeting of members, elected by the general meeting of members, leading the Association to carry out its daily work when the general meeting is not in session, and being responsible to the general meeting of members.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(2) Electing and dismissing executive directors;

(three) to elect and recall the president, vice president and secretary general;

(four) to prepare for the convening of the members' congress;

(five) to report the work and financial situation to the members' congress;

(six) to decide to absorb or recall members;

(7) Deciding to establish offices, branches, representative offices and entities;

(eight) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(nine) to lead the work of the institutions of this Association;

(ten) to formulate the internal management system of the association;

(eleven) to listen to and consider the work report of the Standing Council;

(twelve) to hire an honorary chairman or consultant to decide on other major issues.

Article 19 The board of directors shall be attended by more than two thirds of the directors, and its resolutions shall take effect only if they are approved by more than two thirds of the directors present.

Article 20 The Council shall hold a meeting once a year, which may be held in advance or postponed if necessary; Under special circumstances, the Council can be convened in the form of communication.

Article 21 The Association shall set up a standing council, which shall be elected by the council, and shall exercise the functions and powers in items 1, 4, 6, 7, 8, 9 and 10 of Article 18 when the council is not in session, and shall be responsible to the council; The number of executive directors shall not exceed 65438+ 0/3 of the number of directors.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 In principle, the Standing Council shall hold a meeting every six months. Under special circumstances, it can be convened temporarily or by means of communication.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum working age of the president, vice-president and secretary-general of this Association shall not exceed 70 years old;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 If the president, vice-president and secretary-general of the Association are over the maximum working age, they can take up their posts only after being approved by the Council, reported to the competent authority of the Association for examination and approval.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members' representatives at the members' congress, reported to the competent authority of the association for examination, and approved by the registration administration authority before taking office.

Article 27 The president of this Association is the legal representative of this Association.

Article 28 The President of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation and annual work of the resolutions of the members' congress, the Council and the Standing Council;

(3) Signing relevant important documents on behalf of this Council.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(4) Nominating full-time staff of offices, representative offices and units, and appointing them after being approved by the president;

(five) entrusted by the president to sign the relevant important documents;

(6) Handling other daily affairs.

Chapter V Principles of Asset Management and Use

Article 30 The sources of funds of this Association are:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 the association collects membership fees in accordance with the relevant provisions of the state.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 34 An association shall be equipped with accountants with professional qualifications. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-sixth before the general election of this association, it must accept the financial audit organized by the registration authority and the competent authority of this association.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the relevant provisions of the state and institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 39 The amendment to the articles of association shall be proposed by the Standing Council, and then submitted to the members' congress for deliberation after being voted by the Council.

Article 40 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the members' congress, deliberated and agreed by the competent authorities of this Association and approved by the registration administration authorities of this Association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If the Association completes its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination agreement.

Article 42 The termination of the agreement of this Association shall be approved by the members' congress and reported to the competent authority of this Association for examination and approval.

Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent department and the relevant departments of this association to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent authorities of this Association and the registration and management authorities of associations in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the first member representative meeting of the Association on June 28th, 2005.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
