Article 13 of the Regulations on Grass-roots Organizations of State-owned Enterprises of China * * * Production Party (for Trial Implementation) State-owned enterprises shall write the requirements of party building into the articles of association, and make clear the responsibilities and powers, institutional setup, operation mechanism, basic guarantee and other important matters of the party organization, and make clear that the research and discussion of the party organization is the pre-procedure for the board of directors and managers to make major decisions, and implement the legal status of the party organization in the corporate governance structure.

Eligible members of the Party Committee (Party Group) can enter the board of directors, the board of supervisors and the manager level through legal procedures, and eligible members of the board of directors, the board of supervisors and the manager level and the party group can enter the Party Committee (Party Group) in accordance with relevant regulations and procedures.

The secretary and chairman of the Party committee (party group) are generally held by one person, and the members of the general manager's party group are deputy secretaries. If the leader of a superior enterprise concurrently serves as the chairman due to work needs, according to the actual situation of the enterprise, the secretary of the Party Committee may be party member and the general manager, or may be provided separately.

For an independent legal person enterprise with no board of directors but only an executive director, the party secretary and executive director are generally held by one person. The general manager is entirely party member, usually the deputy secretary of the Party committee.

Whether the party secretary and general manager of non-independent corporate enterprises such as branches are set up separately should be determined according to the actual situation. The general party secretary is the deputy general manager, and the members of the general manager's party group are the deputy secretary of the party Committee.

Party committees (party groups) of central enterprises are equipped with full-time deputy secretaries, who generally serve on the board of directors, not at the manager level, and are responsible for party building. Large enterprises (units) and employees of central enterprises and local party committees of state-owned enterprises with a large number in party member may be equipped with full-time deputy secretaries. The person in charge of the internal discipline inspection institution in the party committee (party group) team of state-owned enterprises generally does not hold other positions, and if it is really necessary to do so, it shall be reported to the higher party organization for approval.

Party organizations in state-owned enterprises implement the system of combining collective leadership with individual division of responsibilities, and members of the leadership team of the party organizations who enter the board of directors, the board of supervisors and the manager level must implement the decisions of the party organizations.
