Article 47
Where a company establishes a branch, it shall apply for registration with the company registration authority where the branch is located within 30 days from the date of making the decision; Where laws, administrative regulations or decisions of the State Council require the approval of relevant departments, it shall apply to the company registration authority for registration within 30 days from the date of approval. To establish a branch, the following documents shall be submitted to the company registration authority:
(1) An application for registration of branch establishment signed by the legal representative of the company;
(2) A copy of the Articles of Association and the Business License of Enterprise as a Legal Person stamped with the company seal;
(3) Certificate of use of the business premises;
(4) The post-holding documents and identity certificates of the person-in-charge of the branch;
(5) Other documents required by the State Administration for Industry and Commerce.
Where laws, administrative regulations or decisions of the State Council stipulate that the establishment of a branch company must be approved, or the business scope of the branch company belongs to matters that must be approved before registration according to laws, administrative regulations or decisions of the State Council, relevant approval documents shall also be submitted.
If the company registration authority of a branch company approves the registration, it shall issue a business license. The company shall, within 30 days from the date of registration of the branch, file with the company registration authority with the business license of the branch.

Article 51
The company registration authority shall make a decision on whether to accept or not according to the following circumstances:
(1) If the application documents and materials are complete and conform to the statutory form, or the applicant submits all the corrected application documents and materials as required by the company registration authority, it shall decide to accept them.
(2) If the application documents and materials are complete and conform to the statutory form, but the company registration authority deems it necessary to verify them, it shall decide to accept them and inform the applicant in writing of the matters, reasons and time for verification.
(3) If there are errors in the application documents and materials that can be corrected on the spot, the applicant shall be allowed to correct them on the spot, and the applicant shall sign or seal the correction place and indicate the date of correction; If it is confirmed that the application documents and materials are complete and conform to the statutory form, it shall be decided to accept it.
(4) If the application documents and materials are incomplete or do not conform to the statutory form, the applicant shall be informed of all the contents that need to be corrected on the spot or within 5 days; Informed on the spot, the application documents and materials shall be returned to the applicant; If it is notified within 5 days, it shall receive the application documents and materials, and issue a receipt certificate for the application documents and materials. Fails to inform, since the date of receipt of the application documents and materials is accepted.
(5) For matters that do not fall within the scope of company registration or the registration jurisdiction of this organ, it shall immediately decide not to accept them, and inform the applicant to apply to the relevant administrative organ. Where the company registration authority applies by letter, telegram, telex, fax, electronic data interchange, e-mail, etc., it shall make a decision on whether to accept or not within 5 days from the date of receiving the application documents and materials.
