A legal person is an organization with capacity for rights and conduct, which independently enjoys civil rights and undertakes civil obligations according to law.
Legal person is a kind of civil subject that exists objectively in the form of group, and it is a concept corresponding to natural person. It has the following characteristics:
1. A legal person is a social organization and the main body of an aggregate.
This kind of organization has external unity and relative stability, and the survival of its civil rights subject qualification will not be affected by the death or withdrawal of legal person members. This feature of legal person distinguishes it from a single natural person.
2. Legal persons have independent property.
This is the material basis of legal person as a civil subject, and it is also a sign that legal person is different from individual partnership. The independent property of a legal person includes three meanings:
(1) The property of a legal person is independent of the property of other legal persons and natural persons;
(2) the property of a legal person is independent of the property of its members;
(3) The property of a legal person is independent of other properties of its founder.
3. Legal persons can bear civil liability independently. This means that the legal person bears the legal consequences of its actions with its own property, and the members of the legal person only bear limited liability for the debts of the legal person.
