Haima Automobile, formerly known as Hainan Automobile Stamping Factory, was established in 1988. In that year, it purchased the stamping production line of Ford and processed panels for Shanghai Volkswagen.
Since 199 1, HNA has introduced Japanese Mazda 929 station wagon and started professional automobile production. 194, the State Council approved Hainan Automobile Factory and Guangdong Zhanjiang Samsung to set up Southern Automobile Company, and invested 7.2 billion yuan to build 60,000 MPV projects, with German Mercedes-Benz as the joint venture partner.
However, in the end, due to the macro situation and the differences between Guangdong and Hainan shareholders, the project died. Subsequently, Hainan Automobile Factory also entered the most difficult period. Due to the problem of product catalogue, hippocampus has fallen into the development dilemma from 1996 to 1999. Once the book capital was only 8 million yuan, but the debt was as high as 600 million yuan.
With the idea of "three big and three small" industrial layout put forward by the national plan, Hainan Automobile Factory entered FAW Group in the form of overall allocation of state-owned assets in 1997, and established FAW Hainan Automobile Co., Ltd., thus becoming a subsidiary of FAW Group.
FAW Hainan therefore has a car catalogue.
Japanese Mazda has always played a vital role in the development of Haima automobile. The achievement of Haima Automobile has finally become a subtle factor in the development of the relationship between Haima and FAW Group.
199 1 year, Haima and Mazda started brand cooperation, and then were allowed to assemble and produce cars in small batches. When 1994 operated the southern project, Mazda had no choice but to quit.
After the South Automobile Project died, Hainan Automobile Factory once again found Mazda to cooperate. During the five years from 1992 to 1996, Haima * * * produced various Mazda models.
However, this cooperation with Mazda is all technical cooperation, and Mazda has no investment. What's more, Haima only had a local production catalogue at that time and could not sell cars nationwide.
From 65438 to 0997, Zhu Jing, one of the entrepreneurs of Hainan Automobile Factory, became the general manager and promoted the cooperation with FAW Group. At that time, Zhu Jing's idea was to have a production catalogue and get products and financial support from FAW Group.
199865438+1October 18, Hainan Automobile Factory entered FAW Group as a whole and became a holding subsidiary of FAW Group 100%. However, FAW Hainan only got the production catalogue, and its hope of obtaining products and financial support from FAW Group was dashed.
Due to the aging of production models, FAW Hainan urgently needs FAW Group to inject new products and financial support. Some models have been produced in Hainan Automobile Factory for 8 years without upgrading, and FAW Hainan, which has no new models, has reached a critical period of life and death.
Under the auspices of the Hainan provincial government, Hainan Automobile Group was established with employees holding shares and Prima capital entering, with Zhu Jing as the chairman, and signed a technical cooperation agreement with Japanese Mazda directly to purchase the production equipment and production rights of the above-mentioned models.
Also under the auspices of Hainan provincial government, FAW Hainan was reorganized again. Haiqi Group, which owns the production rights of Prima and Familia, entered Haima Automobile and obtained 49% of the shares. FAW Group retains 49% of the shares, and Hainan government holds 2% of the shares.
At this point, the shareholding structure of Haima Automobile has also changed from 100% state-owned capital held by FAW Group to a joint-stock company composed of private capital and state-owned capital. After that, Hainan Provincial Government transferred its 1% equity to Haima Automobile and entrusted it to manage the other 1% equity. Therefore, the current shareholding structure of Haima Automobile is that FAW Group holds 49%, Haima holds 50%, and Haima Management 1%.
Haima had hoped to form a joint venture with Japanese Mazda, but under the framework of FAW Group, Mazda finally put mazda 6 in the production of FAW cars. Xiao Li believes that the Japanese Mazda was eventually pried away, which also caused the gap between the two sides.
It can be seen that Mazda's "three advances and three retreats" played a vital role in the later changes in equity and development model of hippocampus. After breaking up with Mazda, Haima also embarked on the road of independent development.
Continue to cooperate with the third factory
At present, although Haima denies the rumors of leaving FAW Group, the relationship between the two sides is more subtle. After obtaining the car production qualification of Haima Zhengzhou Base, the automobile resources of Haima have actually been divided into two parts. One part is Haima Automobile, which is jointly held by FAW Group, and the other part is Zhengzhou Base, which is held by Haima 100%. At present, Haima has evolved into an independent automobile manufacturer relying on Zhengzhou Base.
Last year, Haima established Haima (Zhengzhou) base on the reorganization of Zhengzhou light vehicles, with a planned output of 300,000 vehicles, mainly mini-vehicles.
Regarding the previously rumored news that Haima Automobile will move out of Hainan, Xiao Li made it clear that this is impossible, because there is a division of labor between Haikou and Zhengzhou, and the third factory of Haima Automobile in Haikou is about to start construction.
It is understood that the third plant of Haima Automobile covers an area of about 83 1 mu, with a design capacity of10.5 million vehicles and an estimated investment in fixed assets of/kloc-0.5 billion yuan.
Last year, the sales volume of Haima reached 13 1 10,000 vehicles, a year-on-year increase of 62%. According to the development strategy of Haima Automobile, the production and sales target of Haikou base is 300,000 vehicles. After the completion of the third plant, Haima Automobile Hainan Industrial Park will have three vehicle production plants, two engine plants and a 1 transmission plant. There are also nearly 35 supporting factories.
Although FAW Group does not participate in the specific management of Haima at present, FAW may not be willing to withdraw from Haima as its profitability continues to strengthen.
