The difference between the boss and the general manager

The chairman is the boss of the board of directors, and the general manager is not a member of the board of directors, but a senior manager elected by the board of directors. You can only attend board meetings at most, without voting rights.

The board of directors has executive power, and the chairman usually also serves as ceo. The chairman will hand over the projects decided by the board of directors to the general manager, who will help the board exercise its executive power. The chairman and general manager are both roles in the corporate governance structure (non-traditional organizational structure) and are bound by the corporate governance system. Neither the chairman nor the general manager is necessarily the boss. The chairman can also adopt the appointment system.
