When a Hong Kong company joins a new director, generally speaking, any shareholder of a Hong Kong company can appoint a director as its representative. If there is no objection from 50% or more shareholders, the directors can take office (some directors need 75% or more approval, please refer to the provisions in the Articles of Association of Hong Kong).
5. If a new director of a Hong Kong company joins, documents D3 and D2 must be filled in; If the old director of a Hong Kong-funded company resigns, there must be a D4 and D2 document.
6. Relevant documents must be submitted to the Hong Kong Companies Registry within 14 days after the resolution on the change of directors of Hong Kong companies is passed, otherwise the company will be punished according to the Regulations on the Administration of Hong Kong Companies. If the documents submitted to the Hong Kong Companies Registry are incorrect, the government will return all the documents to the Hong Kong companies and impose a fine, requiring the Hong Kong companies to resubmit the correct documents.
7. Approved by the Hong Kong Government. The entire controller conversion process is completed.
