Chapter I General Provisions

Article 1 In order to conscientiously implement the Detailed Rules for the Implementation of the Three Major Decisions of Hebei Electric Power Company and the Detailed Rules for the Implementation of the Three Major Decisions of Baoding Power Supply Company, further improve the decision-making system of the power supply company (hereinafter referred to as the company) and enhance the scientific, democratic and legal nature of collective decision-making, these Detailed Rules are formulated.

Article 2 "Three majors and one big one" refers to matters involving major decision-making, appointment and removal of important personnel, arrangement of major projects and operation of large sums of money. The decision-making on the three major issues adheres to the principles of collective decision-making, scientific decision-making, democratic decision-making and decision-making according to law, gives full play to the collective wisdom and strength of the leading group, and improves the decision-making system combining mass participation, expert consultation and collective decision-making in accordance with the requirements of "collective leadership, democratic centralism, individual deliberation and meeting decision-making", standardizes decision-making behavior, improves decision-making level, prevents decision-making risks, promotes anti-corruption construction and ensures that all decision-making arrangements of the company are put in place.

Article 3 The principal responsible person of the party and government of the company is the principal responsible person for implementing the decision-making system on three major issues; Members of the leadership team shall bear corresponding responsibilities according to the division of labor and specific conditions of the team.

Article 4 These Detailed Rules are applicable to all units of the Company.

Chapter II Scope of Matters

Article 5 Major decision-making matters refer to matters that should be decided by the party committee meeting, the manager's office meeting and the workers' congress of the company according to the internal party regulations, national laws and regulations and the company's rules and regulations. Mainly includes:

(a) opinions and measures to implement major decisions, important instructions and important work arrangements;

(two) the company's reform and development strategy, objectives, main business strategy and management system;

(three) the company's medium and long-term development plan;

(eight) major issues in safety production, power grid construction, operation management, quality service and power grid dispatching. Handling of major accidents, emergencies, disciplinary cases, legal and economic disputes and major events affecting the stability of the unit;

(9) Major issues such as Party building, leading group building, anti-corruption work, spiritual civilization construction, ideological and political work, long-term planning, annual plan and implementation plan of corporate culture construction, and major issues of the company's employee congress, party congress, trade union, Communist Youth League work and retirement work;

(ten) to decide on the company level or recommend advanced collectives and individuals to the superior and their incentive methods;

(eleven) to decide on the handling of disciplinary organizations, cadres or personnel;

(twelve) other major decisions.

Article 6 Important personnel appointment and dismissal matters refer to the post adjustment of leading cadres and managers directly managed by the Party Committee of the company. Mainly includes:

(1) Selection, appointment, removal and transfer of leading cadres managed by the Party Committee of the company;

(2) The assessment, rewards and punishments of the leading bodies and leading cadres managed by the Party committee of the company;

(3) Management of reserve cadres;

(four) other important matters of cadre and personnel management.

Seventh major project arrangements refer to the establishment and arrangement of projects that have an important impact on the enterprise's asset scale, capital structure, profitability, power grid equipment, scientific research and development, information technology and so on. Mainly includes:

(a) the annual plan and adjustment plan of infrastructure, technological transformation, overhaul and science and technology projects;

(2) Financing, guarantee and entrusted loan projects;

(3) Major investment management matters that should be reported to Hebei Electric Power Company;

(four) major renovation and new projects outside the annual plan;

(five) the annual plan and adjustment plan of non-productive projects;

(six) major events caused by policy changes, design changes and changes in the external environment. ;

(seven) other major project arrangements.

Article 8 The operation of large amount of funds refers to the transfer and use of funds beyond the limit that leading cadres at the headquarters of the company have the right to transfer and use according to relevant regulations. Mainly includes:

Mobilization and use of a large amount of funds in the budget;

(two) a large number of transfer and use of over-budget and extra-budgetary funds;

Article 9 The specific matters of decision-making on the three major issues shall be implemented with reference to the Rules of Procedure of the Party Committee of China Power Supply Company, the Rules of Procedure of the Manager's Office Meeting of Power Supply Company, the Detailed Rules for the Implementation of the Workers' Congress of Power Supply Company and the management systems of leading cadres, financial fund management, investment management, comprehensive planning management and bidding and purchasing management of the company.

The third chapter is the basic procedure of decision-making on three major issues.

Article 10 Decisions on the three major issues are mainly made in two forms: the meeting of the company's party committee and the meeting of the manager's office, and it is not allowed to make decisions by soliciting opinions separately. Article 12 Party committee meetings and manager's office meetings shall be held separately in accordance with party and government regulations.
