Chapter I General Provisions

Article 4: Our company is a collective-owned enterprise approved by Xiamen Municipal People's Government and registered with Xiamen Administration for Industry and Commerce. It has the status of an independent legal person, its behavior is bound by state laws, and its economic activities and legitimate rights and interests are protected by state laws.
Article 5: The company shall be responsible to its creditors with its actual capital.
Article 6: The purpose of the company is to make the enterprise develop steadily and rapidly, so that all employees can obtain good economic benefits and fulfill corporate responsibilities for Xiamen's economic construction, the prosperity of the whole society, the beautification of the environment and the progress of mankind.
Chapter II Scope of Business
Article 7: Business scope. Main business: design and construction of indoor and outdoor decoration engineering of buildings; Installation of lines, pipelines and equipment; Processing, manufacturing and installation of metal doors and windows; Lighting engineering. Chapter III Organizational Structure and Power
Article 9: The Company implements the manager responsibility system, with one general manager, several deputy general managers and one assistant to the general manager. The general manager is appointed by the competent unit and registered as a legal representative with the approval of the Municipal Administration for Industry and Commerce. The deputy general manager assists the general manager and is responsible for the work of the department. In the absence of the general manager, the general manager entrusts a person above the deputy general manager as the driving authority.
Article 10: According to the principle of streamlining and high efficiency, the company is set up as follows: general manager's office, deputy general manager's office, development and operation department, quality supervision and safety department, technology department, labor department, engineering design office, comprehensive office and finance department. The specific scope of responsibilities is formulated by the company, and the company can set up and change the internal management department according to the needs of business development.
Article 11: The general manager of the Company shall exercise the following functions and powers:
1, decide or report the enterprise plan for approval according to relevant regulations and market conditions;
2, decided to set the appointment and removal of middle-level leading cadres;
3, put forward the salary adjustment scheme, bonus distribution scheme and important rules and regulations, as well as the use of welfare funds and other major issues related to employee welfare, submitted to the trade union or employee congress for deliberation and decision;
4. Reward and punish employees according to law, give spiritual encouragement and material rewards to employees who have made outstanding contributions, and give administrative sanctions to employees who violate laws and regulations.
5. Regularly report the company's operation to the chief official department.
Chapter IV Labor and Personnel System
Article 12 According to the needs of business development, the company has the right to recruit employees by itself within the scope of the relevant provisions of the government's labor and personnel departments, fully implement labor wage management and personnel management, and sign labor and personnel contracts according to regulations.
Article 13: The company has the right to impose administrative sanctions on unqualified employees in accordance with relevant regulations until they are dismissed. Those who are incompetent can be laid off.
Chapter V Financial Management System and Profit Distribution
Article 14: The company's financial accounting system shall be implemented in accordance with the Accounting Law promulgated by the state.
Article 15: The accounting system of the Company adopts the Gregorian calendar year system. From Gregorian calendar 65438+ 10 month 1 to 65438+February 3 1.
Article 16 All vouchers, account books and statements of the company shall be written in Chinese.
Article 17: The depreciation of the company's fixed assets shall be decided by the general manager according to relevant regulations.
Article 18: The company implements the relevant national tax system and pays taxes and fees to the government according to law.
Article 19: The operating profit of the company shall be distributed in the following order:
1, make up the loss
2. Withdraw 5% of the statutory public welfare fund.
3. Withdraw statutory provident fund 10%.
4. After the resolution of the workers' congress, the company can withdraw any provident fund.
Article 20: The company shall not distribute profits before making up the losses and withdrawing the statutory common reserve fund and public welfare fund.
Article 21: The statutory accumulation fund of the company can only be used for the following purposes:

2, other purposes as otherwise stipulated by the state.
Article 22: The statutory public welfare fund of the company shall be used for the collective welfare and reward of the employees of the company.
Chapter VI Workers and Trade Union Organizations
Article 23 The employment, dismissal, dismissal, salary, welfare, labor insurance, labor protection and labor discipline of the company shall be handled in accordance with the provisions of the Labor Law and its implementation measures.
Article 24: The employees needed by the company can be recommended by the labor department or openly recruited with approval, and all of them pass the examination and are selected on the basis of merit.
Article 25: The wages and benefits of the employees of the company shall be determined according to the specific conditions of the company and the relevant government regulations.
Article 26 The employees of the Company shall establish trade union organizations and carry out trade union activities in accordance with the provisions of the Trade Union Law of People's Republic of China (PRC).
Article 27: The trade union of our company is the representative of the interests of employees, and its task is to safeguard the democratic rights and material interests of employees according to law; Assist the company to arrange and make reasonable arrangements.
Chapter VIII Termination and Liquidation
Article 28: The company allocates a certain proportion of the total wages of the company's employees to the trade union funds on a monthly basis, and the trade union of the company uses the trade union funds in accordance with the Measures for the Administration of Trade Union Funds formulated by the All-China Federation of Trade Unions.
Chapter VII Revision of Articles of Association

Chapter VIII Termination and Liquidation
Article 30 A company shall be terminated and liquidated under any of the following circumstances:

Article 31: The liquidation upon the termination of the company shall be handled in accordance with the relevant laws and regulations of the state.
