The difference between equity transfer, division, merger and overall asset transfer

Equity transfer is a civil legal act in which shareholders of a company transfer their shareholders' rights and interests to others for compensation according to law, so that others can obtain equity.

The division of a joint stock limited company is the opposite of the merger of companies. It refers to the legal act that the original company is divided into two or more independent companies. When the company is divided, its property shall be divided accordingly.

Absorption and merger refers to the merger of two or more enterprises into one enterprise. After the merger, the merged enterprise obtains the assets and liabilities of one or more other enterprises by paying cash, issuing stocks or other consideration, and continues to retain its legal person status, while the other one or more enterprises lose their independent legal person status after the merger.

The whole asset transfer of an enterprise means that an enterprise (hereinafter referred to as the transferring enterprise) transfers all its business activities (including all its assets and liabilities) or its independent accounting branches to another enterprise (hereinafter referred to as the transferee enterprise) without dissolution, in exchange for equity (including shares or stocks) representing the capital of the enterprise, including corporate shareholders of a joint-stock company buying shares from the joint-stock company with all its business activities or its independent accounting branches.
