(2) The company and its main promoters abide by the relevant laws and policies of the state and have no major violations of laws and regulations in the last two years;
(3) It meets the requirements of the Listing Rules of Hong Kong Growth Enterprise Market.
(4) The listing sponsor institution thinks that the company has the feasibility of listing, and assumes the sponsorship responsibility according to the regulations;
(5) High-tech enterprises recognized by the Ministry of Science and Technology are given priority for examination and approval.
Documents to be submitted for listing on Hong Kong Growth Enterprise Market
Domestic enterprises applying for listing on the GEM shall submit the following documents to the China Securities Regulatory Commission:
(a) the company's application report. The contents should include: company evolution and business overview, capital structure, financing purpose and business risk analysis, business development goal, financing cost analysis, etc.
(2) Analysis opinions and underwriting intention report of the listing sponsor on the feasibility of listing the company;
(3) the approval documents for the establishment of the company;
(4) A legal opinion issued by a law firm with securities practice qualification in China on whether the company and its main sponsors have complied with the relevant national laws and policies and whether there have been any major violations of laws and regulations in the last two years (refer to the Standards for Contents and Formats of Information Disclosure of Public Stock Companies No.6 [Contents and Formats of Legal Opinions]);
(5) An audit report issued by an accounting firm on the accounting statements prepared by the company in accordance with the China Accounting Standards and the Accounting System for Joint Stock Companies and adjusted in accordance with international accounting standards;
(six) all state-owned joint-stock companies shall issue the approval documents of the state-owned assets management department on the operation of state-owned shares;
(7) A relatively complete prospectus;
(eight) other documents required by the China Securities Regulatory Commission.
