1. Shareholders meet the quorum. The number of shareholders must be less than 50, including the original shareholders who participated in the establishment of the company, and the new shareholders who were added due to capital increase, changes in equity and company merger after the establishment of the company;
2. Shareholders' capital contribution reaches the statutory minimum capital. The minimum registered capital of a limited liability company is RMB 30,000;
3. Shareholders * * * jointly formulate the Articles of Association. The establishment of a limited liability company must have articles of association, and a limited liability company may not be established without articles of association;
4. Having a company name and establishing an organization meeting the requirements of a limited liability company;
5. Have a company residence. No company without domicile may be established. The domicile of the company is the place where its main office is located.
A natural person can only invest in the establishment of a one-person limited liability company. A one-person limited liability company cannot invest in the establishment of a new one-person limited liability company. A one-person limited liability company shall indicate the sole proprietorship of a natural person or a legal person in the company registration, and indicate it in the company business license. Where a joint stock limited company is established by means of sponsorship, the registered capital shall be the total share capital subscribed by all promoters registered in the company registration authority.

After the establishment of a limited liability company, if it is found that the actual price of the non-monetary property contributed by the company is obviously lower than the amount stipulated in the articles of association, the shareholders who contributed shall make up the difference; When the company is established, other shareholders shall bear joint and several liabilities.
