What responsibility does the head office bear for the debts of the branches?

Legal analysis: the head office is directly responsible for the debts of the branches. First of all, the branch is a branch of the head office, which engages in civil activities on behalf of the head office, and the consequences of its actions are borne by the head office; Secondly, because the property of the branch belongs to the head office, even if the branch has the ability to bear part or all of the responsibilities, the actual and ultimate responsibility bearer is the head office. Therefore, the head office bears neither joint and several liability nor supplementary liability for the debts of the branches, but directly undertakes the repayment responsibility. Creditors can directly ask the head office to repay their debts without claiming from the branch office first.

Legal basis: According to Article 14 of the Company Law, a company may set up branches. The establishment of a branch company shall apply to the company registration authority for registration and obtain a business license. A branch company does not have legal person status, and its civil liability shall be borne by the company.
