What requirements does the CSRC have for the organizational structure of listed companies?
At the level of corporate governance, there should be shareholders' meeting, board of directors, board of supervisors and special committees within the board of directors. The board of directors has a general manager who is responsible for purchasing, production, sales, finance and other departments. The special requirement for the structure of listed companies is that more than one third of the board members should be independent directors, and the company should have a secretary of the board, a securities affairs department and an internal audit department. There is no requirement for specific business departments, as long as it meets the actual production and operation needs of the company.
