System layer is a variety of written or unwritten systems and norms that embody the essence of concept layer under the guidance of concept layer. The system or structure of corporate governance can be divided into two categories: one is formal system; The other is the information institution. Informal system refers to the code of conduct (norm) formed by culture and social habits. Although these norms are not written in the formal contract and have no legal force, they are actually useful. The formal system can be divided into narrow sense and broad sense. The formal system in a narrow sense refers to a "special contract" that only applies to a single enterprise, including the articles of association and a series of specific contracts. The formal system in a broad sense also includes the "general contract" applicable to all enterprises, including a set of laws and regulations promulgated by the government, such as bankruptcy law, company law, labor law, securities law, and enterprise merger regulations. The system layer is the intermediary between the concept layer and the behavior layer, and it is the embodiment of the core concept of corporate governance.
Behavior performance layer is the final external performance of corporate governance practice, which is directly determined by the system layer, and is manifested in various personality characteristics of corporate governance, such as the scale, composition and structure of the board of directors, the decision-making mode of the board of directors, the relationship between the board of directors and managers, the role of the shareholders' meeting, the atmosphere of the shareholders' meeting or the venue of the board of directors.
