The Guidelines for the Articles of Association of Listed Companies (hereinafter referred to as the Guidelines for Articles of Association) belong to industry norms and have legal force.

The Guidelines for Articles of Association issued by China Securities Regulatory Commission has played a normative role in drafting or amending the articles of association of listed companies.

The contents of the articles of association guidelines consist of two parts: the text and the notes. In the text, the contents marked with "[]" shall be filled in by the company according to the actual situation.

A listed company that issues domestic shares (A shares) or domestically listed foreign shares (B shares) and simultaneously issues domestic shares and domestically listed foreign shares (hereinafter referred to as "listed companies") shall, in accordance with the explanations and explanations in the notes to the articles of association, refer to the provisions and requirements of the text of the articles of association, and clarify the contents contained in the text of the articles of association. Adjustment or change of words and order. If a listed company deletes or modifies the contents of the Guidelines for Articles of Association as required, it shall apply to the China Securities Regulatory Commission for examination and approval of stock issuance and listing.

In the material. If the necessary contents stipulated in the Guidelines for Articles of Association are modified or deleted without justifiable reasons, the China Securities Regulatory Commission will not accept the application for approval of listed companies.

When submitting application materials to the China Securities Regulatory Commission, the articles of association (or draft articles of association) shall be drafted or revised in accordance with the Guidelines for Articles of Association and the requirements of this notice.

A listed company that issues foreign-funded shares listed overseas, or both domestic and foreign-funded shares are listed overseas, shall continue to implement the provisions of the articles of association of overseas listed companies and be exempted from the requirements of this notice.
