The difference between limited partnership and limited liability company

The difference between a limited partnership and a limited liability company lies in the different requirements for capital contribution and registered capital.

1. capital contribution conditions: the partnership may make capital contribution in cash, or in kind, intellectual property rights, land use rights or other property use rights and labor services. However, the limited partners of a limited partnership enterprise cannot contribute capital with labor services. A limited liability company may make capital contributions in currency, or in kind, intellectual property rights, land use rights and other non-monetary properties that can be assessed in currency and transferred according to law. When a limited liability company is established, all shareholders can contribute capital in the currency of the promoters.

2. Requirements for registered capital: There is no requirement for the registered capital of the partnership. The minimum registered capital of a limited liability company is RMB 30,000, of which the minimum registered capital of a one-person limited liability company is RMB 654.38+10,000.

3. Limited partnership consists of general partner and limited partner. The general partner shall be jointly and severally liable for the debts of the partnership, and the limited partner shall be liable for the debts of the partnership to the extent of the capital contribution subscribed. A limited liability company (hereinafter referred to as a limited company) refers to an economic organization registered in accordance with the Regulations of the People's Republic of China on the Administration of Company Registration, which is established by shareholders with less than 50 employees. Each shareholder shall bear limited liability to the company with the amount of capital subscribed, and the company shall be liable for its debts with all its assets. Limited liability companies include wholly state-owned companies and other limited liability companies.
