Sponsor shareholders of insurance companies

The promoters are the promoters of the joint stock limited company initiated or the founding shareholders of the joint stock limited company raised and established. The promoters enjoy the rights of shareholders and undertake the obligations of shareholders, as well as the obligations of promoters. Shareholders who accept shares held by promoters are not promoters.

According to the general principles of civil law, company law and other laws and regulations and the practice of issuing audit, whether you can become a sponsor of a joint stock limited company can be divided into the following situations:

(1) A natural person who can bear civil liability independently can be the sponsor.

(2) An enterprise as a legal person can act as a promoter.

(3) Government agencies, social organizations and institutions can be sponsors, except that investment and business activities are prohibited by laws and regulations.

(4) Foreign-invested enterprises can act as sponsors.

(5) Rural collective economic organizations (such as cooperatives, economic cooperatives or villagers' committees acting as collective economic management functions) with legal person conditions and registered as legal persons according to law, and urban residents' committees with investment capacity can be used as sponsors.

(6) Accounting firms, auditing firms, law firms and asset appraisal institutions cannot be the promoters of joint stock limited companies in other industries.

(7) Trade unions and employee stock ownership associations cannot be used as promoters.

(8) Commercial banks, insurance companies, securities companies and other civil subjects who can't make equity investment according to relevant laws and regulations can't be sponsors.

(9) More than half of the promoters shall have their domicile in China.

Shareholders are investors or investors of joint-stock companies. Shareholders are shareholders of a joint stock limited company or a limited liability company, and have the right to attend the shareholders' meeting and have the right to vote. They also refer to investors in other joint ventures.
