The difference between the actual controller of a company and a legal person

Legal analysis: the legal representative of the company shall be the chairman, executive director or manager according to the articles of association, and shall be registered according to law. Where the legal representative of the company changes, it shall go through the registration of change.

Legal representative is not a legal term, but should be called "legal representative", which is generally held by the chairman or general manager of the company, and is two concepts with actual controller. For a company, the actual controller refers to the unit or individual that has control over the enterprise. If it is a state-owned enterprise, the ultimate actual controller is the first-level SASAC that exercises investment rights in the enterprise. If it is a private enterprise, the actual controller is the natural person who can finally control the enterprise.

Legal basis: Article 13 of the Company Law of People's Republic of China (PRC), the legal representative of the company shall be the chairman, executive director or manager as stipulated in the articles of association, and shall be registered according to law. Where the legal representative of the company changes, it shall go through the registration of change.
