Beijing SASAC's Requirements for Real Estate Project Acquisition

1. The target enterprise must be a state-owned real estate enterprise.

2. Real estate projects declared for acquisition must be publicly listed on the Beijing Equity Exchange.

3. The acquirer shall be a domestic-funded enterprise legal person registered in People's Republic of China (PRC).

4. The purchaser must have the qualification of a real estate development enterprise and have no record of major violations of laws and regulations in the past three years.

5. The acquirer must have completed the registration and pre-disclosure of project information in Beijing Equity Exchange.

6. The acquirer must have obtained the approval document of Beijing SASAC on the acquisition of state-owned property rights of the target enterprise.

7. The target enterprise must have obtained the certificate of immovable property right.

8. The acquisition target enterprise must have completed the planning, construction, confirmation and other examination and approval procedures of the project under construction.

9. The target enterprise must have obtained the housing area achievement table of the acquired project.

10. The target enterprise must have completed all preliminary work such as sales, investment promotion and property management of the acquired project.
