Do joint-stock companies need industrial and commercial registration for equity transfer?

Legal analysis: the transfer of shares of a joint-stock company (unlisted) does not belong to the situation that it should apply for change registration, and it is not necessary to apply for industrial and commercial change registration. The revised articles of association or amendments to the articles of association of a joint stock limited company (unlisted) shall be submitted to the industrial and commercial registration authority for the record.

Legal basis: Regulations on the Administration of Company Registration

Article 9 The registered items of a company include: (1) Name; (2) domicile; (3) The name of the legal representative; (4) Registered capital; (5) company type; (6) Business scope; (7) business term; (8) Names of shareholders of a limited liability company or promoters of a joint stock limited company.

Article 26 Where a company changes its registered items, it shall apply to the original company registration authority for registration of change.

Without the change registration, the company shall not change the registered items without authorization.
