The difference between a limited liability company and a joint stock limited company;
1. A joint stock limited company may be established in different ways, such as offering or initiating the establishment, and a joint stock limited company shall be established with the contribution of shareholders;
2. The organizational structure is different. The shareholders' meeting of a limited liability company is composed of all shareholders and does not need a board of directors. The shareholders' meeting of a joint stock limited company is composed of all shareholders, and a joint stock limited company must have a board of directors.

Article 3 of the Company Law of People's Republic of China (PRC) is an enterprise legal person, with independent legal person property and legal person property rights. The company is liable for its debts with all its property. Shareholders of a limited liability company shall be liable to the company to the extent of their subscribed capital contribution; Shareholders of a joint stock limited company shall be liable to the company to the extent of the shares subscribed by them.
