Articles of association are the basic documents formulated by each company according to law, including company name, office address, business scope, management system, etc. It exists in the form of a written document, which belongs to the company's necessary documents and is the basic rule used to fix the company's organization and activities.
Characteristics of the Articles of Association
The articles of association include four characteristics, namely, legitimacy, authenticity, autonomy and openness, as follows:
1. The legality of the articles of association is mainly used to seize the legal status of the articles of association, and its main contents, amendment procedures and effectiveness are mandatory by law. Its articles of association shall not be violated in any company, which is one of the necessary conditions for the establishment of a company. No matter what kind of company is established, the articles of association must be determined by all shareholders or promoters, and the revised articles of association shall be submitted to the industrial and commercial registration authority for registration when the company is established;
2. The authenticity of the articles of association mainly emphasizes that the contents recorded in the articles of association must be objective and consistent with reality;
3. The autonomy of articles of association mainly includes three points. First, it is always expressed by the shareholders of the company and designated by the company according to law; Second, the articles of association are implemented by the company itself, which belongs to the code of conduct outside the law and does not need state coercion to ensure implementation; Third, the effect of the articles of association is limited to the company and related parties, and it is not universally binding;
4. The publication of the articles of association is entrusted to the joint stock limited company, because the contents of its articles of association need to be published not only to investors, but also to the public, including creditors.
