Do new directors need a resolution of the board of directors or a resolution of the shareholders' meeting?

See if the director is an employee director.

If you are an employee director, you need to provide minutes of employee meetings or employee representative meetings.

If the employee is not a director, a resolution of the shareholders' meeting shall be provided (a one-person limited liability company is a shareholder, a joint stock limited company is a resolution of the shareholders' meeting, and a wholly state-owned company is SASAC).
