Shareholders may not be notified, but it is better to notify other shareholders.

According to Article 72 (L) of the new Company Law, the transfer of shares between shareholders of a limited liability company is not restricted. Therefore, the shareholders who have a transaction have no statutory notification obligation. The fact that both parties to the transaction only need to sign the equity transfer agreement without notifying other shareholders will not affect the effectiveness of the equity transfer agreement without notifying other shareholders.

However, the resolution of the original shareholders' meeting and the resolution of the new shareholders' meeting are required for the change registration of equity transfer, otherwise it will be very inconvenient to go through the formalities of industrial and commercial registration of equity transfer, and other shareholders need to be informed in writing at an appropriate time. If he is not the chairman or executive director, he shall also propose or apply for convening an extraordinary general meeting of shareholders and form a written resolution of the general meeting of shareholders. No matter whether the shareholders agree or sign, they should inform the shareholders' meeting 15 days in advance. In fact, there is no need to convene a general meeting of shareholders if it does not involve legal representatives, directors, supervisors and other matters. Most of the industrial and commercial bureaus require that the resolutions of the new shareholders' meeting, the resolutions of the original shareholders' meeting and the amendments to the company's articles of association must be signed by all other shareholders, and some even require all shareholders to be present to check their identities and sign for confirmation.

Therefore, although there is no legal requirement to notify other shareholders of the equity transfer between shareholders, it is better to notify them.
