Types of board meetings

Similar to the classification of shareholders' meetings, board meetings can also be divided into regular meetings and interim meetings or ordinary meetings and special meetings. The regular meeting of the board of directors refers to the regular meeting of the board of directors held every year as determined by laws and articles of association. As for the number of meetings held each year, within the scope determined by law, it shall be determined by the articles of association. China's "Company Law" stipulates that the board of directors of a joint stock limited company shall meet at least twice a year; The number of meetings of the board of directors of a limited liability company is not specifically limited by the Company Law, but determined by the articles of association. An interim meeting of the board of directors refers to an interim meeting of the board of directors held when necessary between two regular meetings. China's Company Law stipulates that directors above 65,438+0/3 may propose to convene an interim meeting of the board of directors.

For listed companies, the board of directors holds regular meetings or regular meetings at least twice a year, because the company must publish interim reports and annual reports. On average, the boards of directors of listed companies in the United States hold more than seven meetings every year, and the special committees under the board of directors hold more meetings. However, the board of directors of listed companies in China holds more than four meetings every year on average, and the number of meetings should be increased in the future. In March 2003, China Securities Regulatory Commission required listed companies to disclose quarterly reports.
