President, chairman, general manager and CEO, who is the "legal representative" of the enterprise?
The president is generally used in group companies and is the highest administrative person in charge of the group. The chairman is the chairman of the company, who directly leads the board of directors of the company and some special committees attached to the board of directors, such as the Executive Committee, the Appointment and Removal Committee, the Remuneration Committee and the Audit Committee, and is the main decision-maker of the company. The general manager is responsible for the daily business of the company and is the decision-maker of the company. CEO, the chief executive officer, is the agent of the company's board of directors, implements part of the management power granted by the board of directors, and is the highest person in charge of the company's policy enforcement agency. The chairman, the president and the chief executive officer may concurrently serve each other. Article 13 of China's company law stipulates that "the legal representative of the company shall be the chairman, executive director or manager in accordance with the company's articles of association and shall be registered according to law." Therefore, no matter what title, only those registered according to law are the "legal representatives" of the enterprise.
