How to change the business scope of the company

Legal analysis: The following materials are required to change the business scope of an enterprise's business license: 1. An application for company change registration signed by the legal representative (with the official seal of the company); 2. The certificate of designated representative or authorized agent signed by the company (official seal of the company) and a copy of the identity certificate of designated representative or authorized agent; The handling matters, authority and authorization period of the designated representative or entrusted agent shall be indicated. 3. The revised articles of association or amendments to the articles of association (signed by the legal representative of the company); 5. The business scope of the company's application for registration includes the items that must be approved before registration according to laws, administrative regulations and the State Council decisions, and the relevant approval documents or a copy of the license or permit shall be submitted; 6. If laws, administrative regulations and decisions of the State Council require approval to change the business scope, submit a copy of the relevant approval documents or license certificate; 7. A copy of the company's business license, etc. , apply to the registration authority to change the business scope.

Legal basis: Article 64 of the General Principles of the Civil Law of People's Republic of China (PRC) * * * If the registered items of a legal person change during its existence, it shall apply to the registration authority for registration change according to law.

Article 7 of the Company Law of People's Republic of China (PRC) shall be issued by the company registration authority. The date of issuance of the business license of the company is the date of establishment of the company.

The company's business license shall specify the company's name, domicile, registered capital, business scope, name of legal representative and other matters.

Where the matters recorded in the company's business license change, the company shall register the change according to law, and the company registration authority shall issue a new business license.

Regulations of the People's Republic of China on the Administration of Company Registration

Article 27 When applying for registration of change, a company shall submit the following documents to the company registration authority:

(1) An application for change registration signed by the legal representative of the company;

(2) resolutions or decisions on changes made in accordance with the Company Law.

(3) Other documents required by the State Administration for Industry and Commerce.

Where the company's change of registration matters involves the revision of the articles of association, it shall submit the revised articles of association or amendments to the articles of association signed by the company's legal representative.

Where laws, administrative regulations or decisions of the State Council require approval to change registered items, relevant approval documents shall also be submitted to the company registration authority.

Article 32 Where a company changes its business scope, it shall apply for registration of change within 30 days from the date when the resolution or decision on change is made. Where the change of business scope involves projects that must be approved before registration according to laws, administrative regulations or the State Council decisions, it shall apply for registration of change within 30 days from the date of approval by the relevant state departments.

If the business scope of the company is subject to approval according to laws, administrative regulations or the State Council's decision, and its license or other approval documents are revoked, or the validity period expires, it shall apply for change of registration within 30 days from the date of expiration of the license or other approval documents, or go through cancellation of registration in accordance with the provisions of Chapter VI of these Regulations.
