2. Articles of Association (signed by all shareholders for a limited liability company and by all promoters for a joint stock limited company).
3. Qualification certificates of shareholders and promoters or identity certificates of natural persons.
4. The appointment documents of the legal representative, directors, supervisors and managers.
5. Proof of residential use: a copy of the property ownership certificate of the own property; Submit a copy of the lease agreement and a copy of the lessor's property right certificate for the leased house; If the house has not obtained the property right certificate, submit the record certificate of completion acceptance and a copy of the purchase contract.
6. A joint stock limited company established by offering shall submit a capital verification certificate issued by a legally established capital verification institution. Where the promoter's initial capital contribution is non-monetary property, it shall submit the certification documents that have gone through the formalities for the transfer of property rights.
7. Where a joint stock limited company established by way of offering shares publicly, it shall submit the approval documents of the securities regulatory authority of the State Council.
8. Laws, administrative regulations and the State Council decisions stipulate that the establishment of a company must be approved or approved within the business scope that the company applies for registration, and a copy of relevant approval documents or licenses shall be submitted before registration.
Legal basis: Article 21 of the Regulations of the People's Republic of China on the Administration of Company Registration. To establish a joint stock limited company, the board of directors shall apply to the company registration authority for registration. Where a joint stock limited company is established by offering, it shall apply to the company registration authority for registration of establishment within 30 days after the founding meeting. To apply for the establishment of a joint stock limited company, the following documents shall be submitted to the company registration authority:
(1) An application for registration of establishment signed by the legal representative of the company;
(two) the certificate of the designated representative or entrusted agent of the board of directors;
(3) Articles of association;
(four) the qualification certificate of the promoters or the identity certificate of natural persons;
(5) Documents indicating the names and residences of the company's directors, supervisors and managers, and certificates of appointment, election or employment;
(6) The post-holding documents and identity certificates of the legal representative of the company;
(7) Notice of pre-approval of enterprise name;
(eight) the company's domicile certificate;
(9) Other documents required by the State Administration for Industry and Commerce.
