First, branches of insurance companies are secondary institutions, central branches are tertiary institutions, and branches and marketing service departments are tertiary institutions.
2. According to the Administrative Measures on Market Access of Insurance Company Branches (Order No.20 of the China Insurance Regulatory Commission [20 13]), the establishment of insurance company branches is divided into two steps: preparation and opening.
(1) Application materials for preparation.
1. Application for establishment;
2. The solvency report of the insurance company for two consecutive quarters and the audited solvency report of the previous year before the application;
3, the insurance company's corporate governance structure report of the previous year;
4. Feasibility report on the establishment of branches of insurance companies (including the three-year business development plan and market analysis of the institutions to be established, as well as a description of the adaptation of the establishment of branches to the company's risk management and internal control);
5, the applicant's branch development planning and management system;
6. List of the applicant's internal control system; A life insurance company shall also explain Article 17 of the Interim Measures for the Administration of the Authenticity of Customer Information of Life Insurance;
7. Administrative punishment or investigation of the applicant;
8. Resume and relevant supporting materials of the person in charge of the preparation of the proposed institution (the original education, copy of education, copy of ID card and Xuexin.com electronic registration form of the Ministry of Education are required; If there is no original or electronic registration form of Xuexin.com degree of the Ministry of Education, the applicant shall issue a letter of commitment on whether the degree is true);
9. A description of the operation of other branches within the jurisdiction of the Insurance Regulatory Bureau where the proposed institution is located, and whether there are any situations listed in Article 12 of the Measures for the Administration of Market Access of Branches of Insurance Companies;
10. Prepare the electronic data client of the organization;

If there are duplicate materials in the materials, the words "verified as original" shall be endorsed and stamped with the official seal of the applicant. )
(2) Precautions for preparation
1. An insurance company applying for the establishment of a branch shall meet the following conditions:
(a) in line with the applicant's own development plan;
(2) The solvency of the insurance company has reached sufficient Class I in the last year and two consecutive quarters before submitting the application;
(3) The classified supervision category of the insurance company in the previous year and two consecutive quarters before the application is submitted is not lower than Category B, and the classified supervision category of the provincial branch in the previous year and two consecutive quarters before the application is submitted is not lower than Category C;
(4) Good corporate governance and sound internal control.
(5) The applicant has a sound branch management system;
(6) Where an application for establishment is made in a province, autonomous region or municipality directly under the Central Government other than the domicile of the insurance company, the local provincial branch has opened;
(7) The direct management organization at the higher level of the proposed institution has been in business for three months. Provincial branches are not subject to this restriction when they set up branches in their local cities;
(8) The internal control of the direct management institution at the higher level of the proposed institution is sound;
(9) Having a person in charge of the preparation meeting the qualifications of the principal person in charge of the proposed institution.
Article 11 of the Measures for the Administration of Market Access of Branches of Insurance Companies:
To apply for the establishment of branches other than provincial branches, the following circumstances are not applicable:
(1) The applicant or the provincial branch of the proposed institution has been severely punished by the financial regulatory agency in the last two years;
(2) The applicant or its management personnel are being investigated by the financial regulatory agency or judicial organ because of their work behavior suspected of major crimes;
(3) Other branches within the jurisdiction of the Insurance Regulatory Bureau where the proposed institution is located have been subject to major insurance administrative penalties in the last six months;
(4) Within the jurisdiction of the Insurance Regulatory Bureau where the proposed institution is located, three or more branches have been subject to insurance administrative punishment in recent 1 year;
(5) The institution directly under the control of the higher level of the institution to be established has been subject to insurance administrative punishment in the last six months.
Article 12 of the Measures for the Administration of Market Access of Branches of Insurance Companies:
To apply for the establishment of branches other than provincial branches, the operation of other branches within the jurisdiction of the Insurance Regulatory Bureau where the proposed institution is located shall not be under any of the following circumstances:
(a) the main person in charge or the temporary person in charge is not full;
(two) there is no stable and standardized business premises;
(3) It has been closed for more than three months. Except that the suspension of business has been reported to the insurance supervision and administration institution;
(four) there are major internal control defects, and have not been rectified;
(5) Cancellation of three or more branches in the last year;
(6) The business premises of the same branch have changed more than twice or the principal responsible person has changed more than three times in the last year;
(seven) in the last six months, there have been more than 50 group petitions and group complaints, or more than 100 abnormal centralized surrender events, which have a relatively bad impact;
(eight) other circumstances identified by the insurance regulatory agency.
Article 17 of the Interim Measures for the Administration of the Authenticity of Personal Insurance Customer Information:
In violation of these measures, a life insurance company may not apply for the establishment of a branch if it has one of the following imperfect internal controls:
(a) did not establish and improve the customer information authenticity management system.
(2) Core business system, bank (postal) guarantee system and other related business systems do not have the control function of customer information field integrity and logical accuracy.
(3) Failing to incorporate the authenticity of customer information into the assessment system of insurance sales employees and other employees of the company, and establishing corresponding disciplinary mechanisms.
An insurance company can apply for establishing a branch according to the needs of business development. The sales department and the marketing service department do not manage other branches.
6. The applicant shall complete the preparatory work of the branch within 6 months from the date of receiving the notice of preparatory work. If the preparatory work is not completed at the expiration of the preparatory period, an application for establishment shall be re-submitted.
7. The preparatory organization shall not engage in any insurance business activities during the preparatory period.
