What responsibilities should illegal shareholders bear?

Legal analysis: Shareholders, as investors, will enjoy different proportions of income according to the amount of capital contributed by shareholders, and have the right to make decisions and choose company managers. Shareholders' liability to the company is their capital contribution, and the company's debt is the debt secured by the company's own assets. A corporate legal person is the obligee who can represent all actions of the company, and the corporate legal person can sue and respond to all litigation actions related to the company.

Therefore, the company's shareholders and the company's legal person have the following different criminal responsibilities to the company: the company's legal person and the company's shareholders have different responsibilities in terms of rights and obligations, and the shareholders should bear the company's limited liability and the company's dividend-paying interests when they perform the investment business. A company as a legal person carries out profit-making activities on behalf of the company. If the company's activities are illegal, there should be a legal person to bear the illegal responsibility.

Legal basis: Article 63 of the Company Law If the shareholders of a one-person limited liability company cannot prove that the company's property is independent of the shareholders' own property, they shall be jointly and severally liable for the company's debts.

Article 214 of the Company Law If a company violates the provisions of this Law, it shall bear civil liability for compensation and pay fines and penalties. If its property is insufficient to pay, it shall bear civil liability first.

Article 208th of the Company Law If the company registration authority registers an application that does not conform to the provisions of this law, or refuses to register an application that conforms to the provisions of this law, the directly responsible person in charge and other directly responsible personnel shall be given administrative sanctions according to law.
