Who is responsible for individuals borrowing in the name of the company?

Legal analysis: IOUs written in the company's name should be stamped with the company's official seal, not my signature. The company is a legal person, and the contract signed should be the official seal and the legal representative, which has legal effect. A contract signed by a person's name can only represent an individual, and the official seal represents the company. Legal lending relationships are protected by law. If an individual borrows money in the name of the company, the individual shall bear the repayment responsibility.

Legal basis: Civil Code of People's Republic of China (PRC).

Article 667 A loan contract is a contract in which the borrower borrows money from the lender, repays the loan at maturity and pays interest.

Article 668 A loan contract shall be in written form, unless otherwise agreed between natural persons. The contents of a loan contract generally include terms such as loan type, currency, purpose, amount, interest rate, term and repayment method.
