What does listing sponsor mean?

A listing sponsor refers to a securities company that undertakes the recommendation responsibility for the listing application of a listed company and the guarantee responsibility for the application documents and information disclosure materials of the listed company. Sponsors shall abide by business rules and industry norms, be honest and trustworthy, be diligent and conscientious, and supervise the standardized operation of listed companies.

The responsibilities of the listing sponsor are:

1. Confirm that the issuer meets the listing conditions;

2. Ensure that the issuer's directors understand the directors' obligations and responsibilities stipulated in laws, regulations, these Rules and the Stock Listing Agreement;

3. Assist the issuer to apply for stock listing and handle matters related to stock listing;

4. Submit a letter of recommendation for stock listing;

5. Verify the information contained in the stock listing documents to ensure that the contents of the stock listing documents are true, accurate and complete, and meet the specified requirements;

6. Assist the issuer to improve the corporate governance structure;

7. Assist the issuer to formulate strict information disclosure system and confidentiality system.

Legal basis: Article 23 of the Company Law of People's Republic of China (PRC).

The establishment of a limited liability company shall meet the following conditions:

(1) Shareholders meet the quorum;

(2) The capital contribution subscribed by all shareholders in accordance with the Articles of Association;

(3) Shareholders * * * agree to formulate the Articles of Association;

(4) Having a company name and establishing an organization meeting the requirements of a limited liability company;

(5) Having a company domicile.
