How to handle the transfer of the project under construction?

Legal analysis: 1. Counting and checking all the transfer contents determined by both parties one by one, or determining the transfer price after evaluating the target assets by a professional appraisal institution, and signing a written transfer contract on this basis;

2. Handle the relevant transfer registration in the corresponding administrative organ. If the registered capital is reduced due to the transfer of the main assets of the project company, the creditor shall be notified and announced in the newspaper, and the project company shall go through the corresponding cancellation procedures after performing the corresponding creditor-debtor relationship;

3, the assignee and the assignee shall, within 30 days from the date of completing the registration procedures for the change of land use rights, hold the real estate development project transfer contract to the real estate development department for the record;

4. Examination and approval procedures for name change of some or all construction procedures such as construction land planning permit and construction permit related to the project under construction;

5. Transfer procedures of rights and obligations of contracts and agreements related to projects under construction, such as design, construction, supervision, bank mortgage loan and pre-sale of commercial housing.

If the project under construction is transferred by means of equity transfer, it is only necessary to sign an equity transfer agreement and go through the formalities of industrial and commercial change registration of equity transfer (foreign-invested enterprises should also go through the corresponding formalities of examination and approval of equity change) to complete the transfer. As the external land use right subject and the project subject have not changed, there is no need to go through the relevant ownership change registration procedures necessary for land use right or asset transfer.
