The process of establishing a joint venture between two companies.

Legal analysis: 1. The two companies signed a cooperation agreement to confirm the cooperation of relevant departments and personnel.

2. The two companies have reached a cooperation agreement, and determined the future business strategy, namely registration, stock, etc.

3. The two companies need to formulate the articles of association of the joint venture company;

4. The two companies shall conduct internal examination and approval of the articles of association of the joint venture company to be established, and at the same time conduct preparatory work such as pre-examination and approval of the new company to be established.

5. The two companies hold a general meeting of shareholders to announce the establishment of the new joint venture company and whether the articles of association have been passed, and to announce the board of directors, the board of supervisors and other senior management personnel of the new joint venture company;

6. The two companies need to assign management personnel to the industrial and commercial bureau to submit applications, register the newly established joint venture company, apply for business licenses, handle tax reports and apply for tax registration certificates.

Legal basis: Article 54 of the Regulations of the People's Republic of China on the Administration of Company Registration. If the company registration authority makes a decision on the pre-approval of the company name, it shall issue a Notice on the Pre-approval of the Enterprise Name. If the company decides to approve the establishment registration, it shall issue a Notice of Approval of Establishment Registration, informing the applicant to obtain the business license within 10 days from the date of decision; If it decides to approve the company's change registration, it shall issue a Notice of Approval of Change Registration and inform the applicant to renew the business license within 10 days from the date of decision; If it decides to approve the cancellation of company registration, it shall issue a Notice of Approval of Cancellation of Registration and collect its business license. If the company registration authority decides not to pre-approve the name or not to register, it shall issue a Notice of Rejection of Enterprise Name and a Notice of Rejection of Registration, explain the reasons for not approving the registration, and inform the applicant of the right to apply for administrative reconsideration or bring an administrative lawsuit according to law.
