In practice, some people think that the content of the commercial housing subscription agreement has the main elements of the commercial housing sales contract stipulated in Article 16 of the Measures for the Administration of Commercial Housing Sales, and it is the true intention of the parties. The parties shall perform their respective obligations in accordance with the agreement, otherwise they shall pay liquidated damages in accordance with the agreement. Others believe that the commercial housing subscription agreement does not meet the requirements of the relevant judicial interpretation for the identification of commercial housing sales contracts and cannot be identified as commercial housing sales contracts. If it is determined and judged according to the commercial housing sales contract, it is an error of applicable law.
The author believes that although the main viewpoints of the above two understandings are diametrically opposite, both of them are based on the wrong application of law, and the latter is more hidden than the former.
First of all, the "Commercial Housing Subscription Agreement" is a conditional auction sale contract, and it is a contract on the rights and obligations of future housing sales reached by both parties on the basis of true meaning. The so-called contract does not meet the legal requirements of the commercial housing sales contract and the commercial housing pre-sale contract, nor is it a general sales contract, but a option contracts with exercise conditions, which is an agreement between the parties to establish, change and terminate civil rights and obligations and is legally binding on the parties. At the same time, there is no legal situation that the contract is invalid in the commercial housing subscription agreement. Once the commercial housing subscription agreement is concluded, it is legal and effective and protected by law. After the implementation of the Contract Law, the invalidity of the contract shall be based on the laws formulated by the National People's Congress and its Standing Committee and the administrative regulations formulated by the State Council, and shall not be based on local regulations and administrative rules. If the parties improperly prevent the achievement of conditions for their own interests, the conditions are deemed to have been achieved; Those who improperly contribute to conditional achievement are regarded as conditional failure. Furthermore, the commercial housing subscription agreement is a two-way contract. Both parties shall abide by the principle of good faith and fulfill the obligations of notification, assistance and confidentiality according to the nature, purpose and trading habits of the contract. During the performance of the contract, if one party breaches the contract, the other party has the right of defense. The right of defense in a bilateral contract includes three kinds: the right of defense to perform simultaneously, the right of defense to perform first and the right of defense to be uneasy. Whether the right of defense is established depends on how the terms in the commercial housing subscription agreement are agreed and the performance of the parties.
Finally, the commercial housing subscription agreement is a standard contract provided by the seller of commercial housing. If there is any dispute about the understanding of the standard terms, it shall be interpreted according to the usual understanding. If there are more than two interpretations of the standard terms, an interpretation that is unfavorable to the party providing the standard terms shall be made.
