Article 1 In order to regulate the information disclosure of major asset restructuring of listed companies, these Standards are formulated in accordance with the Securities Law, the Measures for the Administration of Major Asset Restructuring of Listed Companies (Order No.53 of the CSRC, hereinafter referred to as the "Restructuring Measures") and other relevant laws, regulations and departmental rules. Article 2 The application documents are necessary documents submitted to China Securities Regulatory Commission (hereinafter referred to as China Securities Regulatory Commission) by a listed company (hereinafter referred to as the applicant) that intends to carry out major asset restructuring. If the applicant fails to produce and submit the application documents in accordance with the requirements of these Standards, the China Securities Regulatory Commission may reject it or require it to re-produce and submit it. Article 3 The catalogue of application documents stipulated in these Standards is the minimum requirement for the application documents for major asset restructuring of listed companies. Regardless of whether there are clear provisions in this Code, listed companies should provide and disclose all information that has a significant impact on investors' investment decisions. If the documents in the Catalogue do not apply to this major asset restructuring, the listed company may adjust the latest asset restructuring documents according to the actual situation, but it shall make a written explanation to the China Securities Regulatory Commission at the time of application. According to the actual needs of audit, China Securities Regulatory Commission may require listed companies to provide other relevant supplementary documents.
